In this Podcast, Olivier Rikken (2Tokens), Meindert Jansberg (Assetblocks) and Martijn Siebrand (ABN AMRO) discuss their joint use case for the European Blockchain Sandbox. The partnership between these companies, including Rabobank, aims to legally explore the use case of tokenized financial security and stablecoin integration. Together, the goal is to bridge the gap between the physical world and the digital economy by tokenizing real assets and euro’s.
The existing base case presented by Assetblocks offers an unique investment opportunity by allowing individuals to invest in renewable energy sources through tracking stocks. Investors acquire tokens representing solar, wind, or battery parks, entitling them to share in the profits generated by these assets. The ownership proof comes in the form of a Non-Fungible Token (NFT), classified as a security under MiFID II regulations, ensuring compliance and investor confidence.
In the mentioned sandbox setting, the joint use case aims to explore the use of stablecoins tied to Euro’s or bank deposits. Both non-hosted and hosted wallets provided by banks will support these stablecoin transactions, ensuring new ways of accessibility and convenience for investors, offering new levels of accessibility and convenience for investors. Additionally, the project explores the possibility of tokenizing these assets as security tokens, compliant with EBS standards, allowing discussions on regulatory matters with EU and individual European member state frameworks.
The NFTs include embedded metadata, providing crucial information about the underlying assets. Investors can verify each NFT at a detailed level, enabling them to track production and access real-time value data. To comply with regulations, investors undergo a Know Your Customer (KYC) procedure during onboarding. Once whitelisted, investors can easily purchase NFTs using Euros, with a focus on exploring payment in Euro-based stablecoins.

One of the more tangible steps that foster the #energy #transition, is the #fractionalization of #energy #assets. However, tangible doesn’t necessarily mean easier. There are still several hurdles to overcome and best practices to be developed. Think about technical and regulatory issues and questions such as ‘who should lead the implementation: top-down vs. bottom-up?’
In the coming months, @CatenaPower and @Blocklab will roll out MVPs to showcase that fractionalizing energy is possible and to discover which unforeseen hurdles have to be tackled. What do you think they will come across?

One of the more tangible steps in tokenizing the energy sector, is fractionalizing energy assets and applying tokenization (fractional ownership). The first steps that are necessary towards system integration, is showing that fractional ownership is able within the legal framework. From a technical point of view, it is easily doable. However, from a regulatory point of view, it is more complicated. You first need to overcome those issues, before you can start developing the underlying technology.
Discussion between top-down vs. bottom-up. Also, there are several other hurdles that need to be tackled before fractional ownership of solar panels can be achieved. However, do the definition that are created by business, fit the legislations. That’s rather difficult, cause you don’t know what you are exactly looking at (ownership, consumption). You simply choose a way to fit in the current regulation, it’s not the best solution, but let’s squeeze it in.
The next few months, we will have to create a general understanding of energy token, source and offtake token to speed up the discussion and development. Expect some interesting new projects/MVPs in the coming months to see how fractional ownership works. Certainly, there will be many unforeseen problems to overcome. What do you think these MVPs will have to face?

If you think about tokens, you probably think about NFTs and ownership. However, tokenization is so much more than this. In today's podcast, our guests Vivek Srivastava (Digital Asset) & Martijn Siebrand (ABN AMRO) will explain why.

Some countries have their own blockchain laws, such as Germany, Malta, & Estonia. With the #MiCA regulation, this will probably disappear in the long term. The ultimate goal is that there would be a global legal framework for crypto. Is this Utopia for the next decade?

Financing sustainability and solving challenging macroeconomic problems usually involves financing new technology and new ventures. Financing new technology and new ventures often do not fit within the mandate of institutional and professional investors due to a mismatch in risk profile (unproven technology), deal size (too small) in contrast to the relatively high administrative burden, too few high-quality investment opportunities (diversification) and the fact that the pool of investors is somewhat disorganized. As a result, after validation of the business models, startups often find themselves in a critical valley of death where little or no funding is available.
To promote and accelerate sustainable financing, The 2Tokens Usecase Next Generation Capital has developed the Vertical® structure as a proof-of-concept for a new, efficient financing structure for early-stage ventures in which the use of tokens makes it possible to set up financing on a larger scale and cost more efficiently and making an investment accessible to a greater diversity of investors.
Vertical®
A Vertical® is a new way of investing in a theme-based basket of ventures, offered as one bundled investment proposition and subsequently listed as separate security tokens on a regulated secondary market, using standardised documentation, standardised issuing practices, and complying with a standardised framework of investor requirements.
Phase 2 Next Generation Capital
During Phase 1 of Next Generation Capital the Vertical® model was developed and approved by the regulators. In Phase 2 of Next Generation capital we will actually bring the first Vertical® to the market. For this a more detailed whitepaper will be developed for the governance and legal documentation of the funded startups, the token economics will be structured and the Investor readiness of the Vertical® will be tested.

A Euro Stable Coin for decentralized exchanges.
Setting up a digital Euro or Euro token from scratch, provides an opportunity to integrate settlements in programmable accounts on a fundamental level. This could lead to a wave of innovation. The ease of integrating programmable features using a Euro token, depends on the design choices yet to be made. A fundamental question arises: do conditioned transactions (based on smart contracts programmability) fit in the design of a public Euro token, a legal tender, which is supposed to be accepted at all times, at all places? In the Euro Stable Coin working group they will explore several conditions for a Euro token in order for it to lead to actual innovation.

Tokens are certainly changing society. Tokenisation has the potential to open up the financial system to anyone around the world, as long as the infrastructure to exchange those tokenized assets is there. For the adoption of tokenization, it is important that the community and regulators work together to develop clear standards and regulatory frameworks. A robust regulatory framework will undoubtedly reduce regulatory risks, enable innovation by providing clarity around the rules of tokenized ecosystems and allow incumbents to open up for new companies. Standardized taxonomy and terminology and the education of stakeholders are vital in achieving this.
In this podcast we address questions like: "To what is the invoice token a good solution?", and "In what stage of adoption of tokenizing invoices are we?"
What is Invoice Market?
The invoice market is a place where invoices trade as a financial instrument: factoring companies finance invoices, fintech companies, and banks. For now, we will call those: Originators. At Invoice Market, Originators can sell invoices to Institutional investors. The Institutional Investors profit from the invoices, and the Originators free capital by distributing their balance sheet risk.
This process goes as follows:
A seller (Company A) sells a product or service to a debtor (Company B). The seller creates an invoice.
After verification, the factoring company acquires the invoice in return for financing (usually around 80 to 95% of the total invoice).
The financier holds the risk of the invoice on their balance sheet and is required to hold capital for that risk. As these costs are high, financiers tend to look to distribute the risk to investors.
Investors buy the invoice and take over the risk of the financier.
When the payment term is due and the invoice paid by the debtor (Company B), the financier receives the total value of the invoice.
The platform then distributes the remainder of the invoice to the investors.
In the Invoice Market use case, the invoice plays a significant role. And there are several issues with invoices and the way they function in an invoice market:
- There is no standard invoice format
- Verification of invoices is cumbersome, leading to unverified invoices being seen as secure titles
- Double spending issues
- Manual payments are prone to error
The Invoice Token Use Case aims to make invoice markets more efficient by creating a non-fungible token (NFT) that will represent the invoice, the underlying receivable cash flow, and have all the functions of an invoice programmed in it built on a DLT specific ledger with an agnostic smart contract.

The Energy Token business case
At the moment, the energy sector is heavily regulated and enjoys a certain lack of transparency. Furthermore, the new EU regulation states that prosumers (a consumer who also produces energy) as a new way of producing and consuming energy are very important. With new technologies, such as distributed ledger technologies, the opportunities are endless.
In the current metering & allocation setup, every commercial grid connection has a meter and associated allocation point. Balance responsible parties (BRPs) are responsible for maintaining supply and demand on the energy market within their portfolio. Together, all BRPs represent all connections within a scheduling area (for example, the Netherlands).
As the BRPs work on expected production, consumption, and external trade, differences between supply and demand may occur using reconciliation to correct the disparity. New technology, such as smart meters and DLTs, allow for real-time energy allocation based on actual energy consumption.
This use case aims to develop the infrastructure that supports an energy token and embed this in the currently available infrastructure.
Creating one digital journey for entrepreneurs with minimum interference of a notary, that is the goal of this use-case. A pivotal piece of this exercise is to be able to create the first fully digitized shareholders register that allows trading shares without any notary interference at all (in a fully legal and compliant way).
As the European Parliament just passed new legislation stating that from August 1st, 2021 every European country has to offer full digital incorporation of limited companies, the Netherlands feels the pressure. In the Netherlands, we currently have rigid notary structure used to incorporate limited liability businesses (Dutch: BVs) and to trade its shares. With this new legislation, the European Parliament has set a timetable on the digital incorporation of companies, digital shareholder registers and digital transfer of shares.
The Digital Notary use-case has been established to find a way to change the standard on corporate structuring and the trading of private shares. In the future, those wishing to establish a new company will now be able to do so in a fully digital and affordable way. Various partners have come together acknowledging the same problems that exist today: the process of incorporation and transfer of shares of private limited companies is too cumbersome, expensive, and time-consuming (in the Netherlands). To be clear, this does not mean that this use-case aims to remove a notary, but rather envisions a different role.
The persistent progress of technology brings many opportunities to improve traditional industries as current approaches need to be rethought. This can also be applied to the energy sector. New innovations, such as blockchain and the internet of things, make energy systems smarter and enable consumers to better benefit from energy services. This increasing digitization has the potential to transform how people engage with these utilities, by bringing control and transparency back to the end-user.

On the 8th of October, during the 2Tokens Summit, the Token Roadmap was presented by Olivier Rikken (Head of Research of 2Tokens).
The Token Roadmap is one of the deliverables of the 2Tokens Foundations. It provides insights in the regulatory processes of tokenization in the Netherlands. The Token Roadmap is a guideline, which will continuously be updated.

2Tokens highlights the path to Tokenization in the Netherlands. The mission of 2Tokens is to provide an interactive roadmap with the aim of creating clarity about token financing. In todays session Olivier Rikken and Mark van Rijmenam share the findings and recommendations with regards to token finance in the Netherlands. What are the lessons learned during the Use cases? What is good practice?. All of this has been wrapped in the online tokenroadmap.nl which will be updated by the research team as new developments emerge.
2Tokens hosted the first annual online summit October 8th. The interactive 2Tokens roadmap was presented where companies and institutions can go if they have questions about tokenisation and crypto. In this episode, our host Patrick De Laive of The NEXT WEB interviews Chairman Alex Bausch and Jelle Pol who together with Stefan Schmitt of the International Token Standardization Association (ITSA) discuss the relevance of standards. In particular on the use of tokens in Europe and how this relates to the proposed MiCA regulation. In the past 1.5 years, the 2Tokens foundation has worked hard to realize various tokenization projects in the Netherlands. This was done in collaboration with various parties, including banks, ministries, companies and institutions. By means of round table sessions, working groups and webinars, 2Tokens has put the technology around tokenization into practice and shared it with the world. The success of the use cases and the round table sessions provides insight into the potential and possibilities for this technology in the Netherlands and Europe.

The potential for tokenization to disrupt existing interactions is huge – offering both more efficient solutions to existing paradigms (e.g. crowdfunding, fractionalized ownership) as well as opening up whole new models for financing and collaboration beyond the currently dominant approaches. The use-case Next Generation Capital is about creating a new way of funding (vertical funds), focusing on hightech ventures that are building solutions for a sustainable future. Marleen Evertz is founder and CEO NxChange and leads the 2Tokens use case NGC.
Aljosja Beije is co-founder of BlockLab of the Port of Rotterdam, and in the lead for the 2Tokens use case EBL. We see the digitization of the Bill of Lading as an important step towards making ports around the world, safer, faster, more efficient and sustainable. We are therefore actively reaching out to carriers, shippers, banks and logistics service providers in the Netherlands and beyond, to work with them on setting an open standard for transfer of title. The e-BL project envisions the creation of a secure environment in which the first legally binding, interoperable, paperless transfer of ownership of an EBL can be conducted on live shipments. TradeTrust allows for the creation of assets wrapped in a token, which can therefore be owned by an entity. On the 8th of September (4pm - 6pm CEST/UTC+2), 2Tokens, together with Blocklab and the InterWork Alliance, will host a webinar on the use-case Electronic Bill-of-Lading (EBL).
Tokens enable users to define, exchange and use anything of value – whether that value is digitally-native, such as cryptocurrencies, or other forms of value, such as artwork, properties, loyalty points, etc. For an enterprise to exchange or use tokenized value, business partners first need to universally agree on how that token is defined and how its value will contractually unlock through the various agreements and clauses.

The IWA will play a critical role in helping business leaders across industries collaborate effectively,” said Marley Gray, principal architect, Microsoft, and the InterWork Alliance Chairman. “It provides a forum where industry participants can take real-world use cases as diverse as improving carbon market efficiency or trade finance efficiency, and use technology-agnostic token and contract definitions to foster interoperability and drive widespread adoption – that’s the big picture of what we need to do in the Alliance.”
The InterWork Alliance will provide the frameworks needed for businesses to create standardized token definitions and contracts in non-technical, business terms, and then turn them over to developers for coding on any platform of choice

Olivier Rikken leads the research team at 2Tokens and explains the mission of roadmap. Tokenisation in itself was a bit of a hype word. We're gonna tokenise everything and it is completely new, and we do have to realise, and that is also something I mentioned to Alex when we started out right at the beginning of the project. We do want to emphasise on the fact that tokenisation in itself is not new.
