Investment Disclosures SEC standard for disclosures only require them in plain English and not in other languages. * DOL has a plain language standard for health and welfare plans, allowing disclosures to be translated into any language. * Investment filers often use financial and legal jargon, making it difficult for readers to understand. * SEC has a "Ask Questions" tool to simplify information for stocks and mutual funds. * SEC lists nine pertinent questions to disclose to purchasers for mutual funds. * Suggestion of creating beginner, intermediate and advanced fact sheets and videos to help educate and inform investors at different levels of understanding. * Importance of customizing investment programs to avoid potential legal repercussions.*

Regulations and Compliance Discussion on 404(c) regulations to provide sufficient information to participants for informed investment decisions. * Interpretive bulletin from Department of Labor complicates matters by not providing a clear definition of "sufficient information." * Compliance doesn't require offering investment advice or education. * It is important to know where the investment data is coming from and whether it's being shared. * Importance of providing understandable and simple terms when communicating complex investment information.*

Investor Education and Fiduciary Responsibility SEC aims to facilitate access to information needed by investors to make informed investment decisions. * Plan fiduciaries should rely on SEC guidance when creating participant education. * Discussion on fees; 41% of participants do not know the fees they are paying. * CFOs should consider getting fiduciary training to protect themselves and participants. * Importance of asking ten questions when interviewing an investment advisor. * Suggestions on how to properly take on a fiduciary responsibility. * Clients cannot fully abdicate their fiduciary responsibilities and must monitor the advisor's actions. * Investment companies typically claim to be the best and may not acknowledge faults or overcharging. * Most employees have little understanding of the fees associated with their 401(k) disclosures and materials.*

Protection Against Litigation Regulations regarding participant control of investment selections can provide a level of protection to fiduciaries. * Suggestions on providing more information to participants to prevent lawsuits and provide better leverage for defending against them. * Recommendation to hire a lawyer to ensure everything is properly laid out. * Discussion on how to reduce risk and protect businesses from litigation challenges.*

Episode SummaryOur guest today is Andy Cristin, a Virtual Finance Director or Fractional CFO who has over a decade of experience working with owner-managed businesses. Andy shares how he became a Virtual FD / Fractional CFO after realizing he preferred making quick decisions and working closely with entrepreneurs to determine business goals and exit strategies.

As an author, finance director, and qualified accountant, Andy knows the ins and outs of running and building a successful small or medium-sized business.

We learn how Andy's successful exit from his own business taught him valuable lessons such as fine-tuning profitability, hiring people better than yourself, and relying on automation to reduce costs per unit. We also discuss the importance of cash flow management and how a fractional CFO can help small business owners develop a financial strategy by analyzing financial data and creating a plan that aligns with the business's overall goals.

Andy shares his expertise on industry trends, predicting revenue and costs, and the impact of changes in consumer behavior. He emphasizes the importance of getting financial specialists in early and sticking to a focused strategy to avoid common mistakes in small businesses. Finally, we delve into the complexities of preparing for an exit through a merger or acquisition and the need to make oneself redundant as the business owner.

Tune in for a fascinating conversation with Andy Cristin and gain valuable insights into financial strategy and planning for early stage businesses.

Key interview takeaways:* Fractional CFOs are part-time financial directors who help small businesses with financial planning, direction, and strategy. * Cash flow is the main reason businesses fail, so understanding and managing cash is crucial for business success. * Hiring people who are better than yourself is important for business growth. * Developing a financial strategy that aligns with the business's overall goals and objectives is essential for small business success. * Taxation is not usually within the scope of a fractional CFO's services, since tax regulations are complex and require specialized knowledge. * Compliance with overseas transactions and VAT authorities can be complicated and requires expertise that smaller businesses may not have. * Predictable costs, such as salaries and rent, can be used to estimate revenue and create a simple profit and loss account. * Understanding industry standards and trends can help predict revenue and costs in businesses with similar models. * Changes in consumer behavior, such as the shift towards eating at home during COVID, can significantly impact businesses. * To prepare for an exit through a merger or acquisition, the business owner needs to make themselves redundant and think about what they are going to do after the sale of their business.

In this episode, John Ladaga talks about his journey from working in sales at IBM to consulting at Accenture, then venturing into entrepreneurship, which led to the creation of his current company, Sturppy.

Sturppy aims to solve the problem of complicated financial models for startups by providing an easy-to-use software that doesn't require expertise in Excel or finance.

Sturppy uses a template ID component approach and a node system to provide a balance between speed and flexibility in building financial models.

John also talks about the challenges he and his co-founder faced in creating a platform that is robust and flexible enough for different types of businesses.

Key interview points:
· Running out of funding is the top reason why startups fail, making it crucial to stay on top of financial management and frequently update the financial model to reflect changes in the business.· CFOs are recognizing the benefits of Sturppy, but old-school investors may still prefer Excel models, so Sturppy allows for one-click export to Excel.· Failure is common among startup founders, but it's important to learn from it and apply lessons to the next idea. Successful entrepreneurs persevere and jump back on the horse after facing setbacks.· Being willing to put oneself out there and be vulnerable is crucial for success as an entrepreneur, and getting early feedback from potential customers and acting on it is important to improve the product or service.· Entrepreneurship can be learned through trial and error, rather than just reading textbooks or consuming resources. Listening to feedback from customers is important, but it's also important to look for trends rather than creating a new feature for every customer.· Act on trends in customer feedback to create something applicable to a mass audience.· Financial modeling can become challenging with interconnected cells and dozens of tabs, but Sturppy provides an easy way for early-stage founders to create financial models without needing Excel or finance experience.· Sturppy takes a horizontal platform approach, allowing anyone to build a financial model regardless of their business type, and its node system allows for customization of templates to meet specific needs.John's LinkedIn profile https://hi.switchy.io/john-ladagaSturppy: https://hi.switchy.io/sturrpy

This episode is about clash of cultures as a follow on topic from Ep 7 on Efficient Business Growth where the matter of Elon's acquisition of Twitter was brought up so we agreed to delve into culture as it relates to business acquisitions. Culture has to be very much a part of that strategic conversation because of the lasting impact of culture, but when two cultures are suddenly merged it can lead to communication breakdowns, conflict and falling morale.

In the episode John and I discuss how much effort is needed to create passive income.

Passive income has become an increasingly popular idea as people strive to find new ways to make money without having to work long hours. It involves setting up streams of income, often through investments or various creative business models that can generate regular money with minimal effort.

However, many people considering this as an option are unsure how passive income actually works and what steps they need to consider in order to begin benefitting from the available options.

We’ll also go over the advantages and potential pitfalls you may encounter when considering the options available to you!

Excerpts:
John - "I suppose it depends on what your classing is passive income and when you do a search online and that's it you know passive income idea isn't that a lot of what comes up I wouldn't class as passive income they're more side hustles than passive income."
Dante - "The implication of passive income is that it gives you the freedom to not have to work. Also that you're not spending all your time like you would do in a nine to five job, actually trading your time for money. So it's the dream of everyone, especially the financially desperate, who do think that, yeah, this is possible."
John - "Be prepared for hard work. Worst thing that you can do is come up with a good idea, put some effort into doing it, and then, you know, five, six months later, give up on it. Somebody else has come in with a copy idea, but they'll put in 18 months effort and will make the big money and you'll be left thinking, if only I'd stuck with it."
Dante - "You need to think of it as the best learning opportunity ever. You're not going to be doing the same thing for two years, you're going to be evolving it, you're going to be stacking those skills and strategies and tactics, you're going to be learning as you go along."
John - "And that's the key thing, if you're going to do it, make sure you learn from it and pay attention to what's happening. Even if it fails, what you don't want is to then come up with another idea and it to fail because you've done the exact same thing again."
Dante - "so it's more about the freedom and you have to think why do I want this income. What do I need money?"Please like and subscribe or consider supporting the channel at zero cost or no extra cost to yourself by getting the best tools on the market in their niche:
