This week on P&L, I'm joined by my long-time friend and trusted CPA, Gil Vollmering, partner at Waters, Vollmering, Beavers and Addams. This episode dives into the current state of the IRS, exploring Gil's unique perspective as a former internal auditor for the agency. We discuss the IRS's struggles with outdated technology, the real reason you should always extend rather than amend your tax return, and the strict privacy measures required when integrating AI into the accounting world. We also tackle the critical importance of keeping your wealth management and tax advisory firms independent to ensure you receive truly objective, conflict-free advice.
Tune in this week on P&L to learn the best practices for navigating tax season and why proactive communication with your CPA is your best defense against the IRS.
Learn more or contact Gil at gvollmering@wva-cpa.com.
"We attribute to the government perfect knowledge. So we assume that the government knows every foible, every fallacy, every thing that's wrong and they don't." - Gil Vollmering
This week on Priorities & Lifestyle: * Inside the IRS: Outdated systems, processing delays, and inconsistent funding. * Amending vs. Extending: Why the IRS views an amended return as a red flag and why an extension is always safer. * The AI Revolution in Accounting: How closed-system AI is creating efficiencies without compromising client data. * The "Jack-of-all-Trades" Trap: The hidden risks of combined wealth management and tax mega-firms. * Strategic Tax Planning: Why filling out your tax organizer is the first step toward proactive, high-level tax strategy.
Our Favorite Quotes: * "Pigs get fat, hogs get slaughtered. Let's find the things that we can do that have relatively low risk and move on from there." - Gil Vollmering * "The more you talk to us in the middle of the year, as life is going on, the better off we are." - Gil Vollmering * "When we take advances in technology, it's to make it easier on the client, not necessarily on us. If it's not making it easier on the client, that's a problem." - Rob Schulz

This week on P&L, I'm joined by Matt Michel, founder of Service Nation, and Brandon Jacob, an M&A advisor at Contractor CFO. Together, they are the co-authors of The Business Exit Rollercoaster. This episode dives into the intense, often overlooked emotional realities of selling a business. Matt and Brandon share insights from interviewing nearly 100 business owners, exploring the dangers of negotiating with private equity alone, the difference between a planned exit and a forced "catalyst" moment, and the unexpected loss of identity that plagues many founders after the wire hits.
Tune in this week on P&L to learn why preparing for your exit is just as much about mental and emotional readiness as it is about the financial multiple.
Learn more about Brandon at contractorscfo.com or email him at brandon@contractorscfo.com. You can reach Matt at mattmichel@mail.com and find their book, The Business Exit Rollercoaster, on Amazon.
"The whole process of selling a business when you close, it's just surreal... all of a sudden it's like bang. 8:00you're on the phone, 8:05, you've just sold your company. And it's like, what just happened?" - Matt Michel
This week on Priorities & Lifestyle: * Transforming the Trades: How Service Nation elevated the "bottom 95%" of mom-and-pop contractors into highly profitable enterprises. * The Danger of Going Solo: Why sitting across the table from seasoned private equity buyers without an M&A advisor is a massive risk. * The "Pre-Game" of Exiting: The stark difference between a planned, strategic sale and an exit forced by a life-altering catalyst. * The Psychology of the Sale: Navigating the loss of identity, adjusting to sudden wealth, and the unique post-exit struggles of Type A extroverts. * Protecting the Payout: Why the very first calls you make after funding should be to your financial planner and your estate attorney.
Our Favorite Quotes: * "You're selling your business, you have no experience in this, and you're dealing with a guy, especially from private equity, who does this all day, all the time." - Brandon Jacob * "There's an inverse relationship between risk and reward in terms of selling a company. If you can lower the risk, you raise the reward." - Matt Michel * "It's not necessarily how much money you sold for. It's really who you are, and understanding who you are and how you're going to deal with it prior to the close." - Brandon Jacob

This week on P&L, I'm joined by Tim Haugh, the founder and president of Evergreen Companies. This episode dives into Tim's fascinating leap from a comfortable corporate career into entrepreneurship - a jump he made not because he was fired, but because he was offered a promotion he didn't want.
Tim shares the story of how a lucky dinner conversation led to the founding of his recycling business, how his team pushed him to expand from paper to plastics, and how he navigates the volatile commodity markets without losing sleep. We also explore the unique dynamics of running a family business, the boundaries he and his wife set to keep work at work, and how implementing the Entrepreneurial Operating System (EOS) allowed him to manage less and lead more.
Tune in this week on P&L to learn what it takes to build a thriving business, cultivate an incredible company culture, and transition into the "owner's box."

"I didn't wanna sit in meetings all day. I wanted to do stuff... so I started looking to do something on my own." — Tim Haugh
This week on Priorities & Lifestyle: * Leaving the Corporate Ladder: Why getting a major promotion was the exact catalyst Tim needed to start his own business. * The "Accidental" Family Business: Navigating the transition of bringing four adult children into a company they were originally told they wouldn't work for. * Navigating Volatile Markets: Tim's philosophy on managing inventory and avoiding the speculation trap in the recycling commodities market. * Managing Less, Leading More: How implementing EOS over the last 15 years helped Tim step out of the daily weeds and shift his focus to high-level leadership. * Setting Family Boundaries: The crucial rule of leaving business talk away from the family dinner table.
Our Favorite Quotes: * "The lesson is always listen to your people because they have good ideas." — Tim Haugh * "Common wisdom is that the number one thing that puts businesses out of business is lack of cash. And I like to say the number two thing is lack of communication." — Tim Haugh * "We let them make decisions, we let them make mistakes. And I don't really mind a mistake. I prefer a mistake than a lack of action." — Tim Haugh

This week on P&L, I'm joined by Jon Thurmond, a life and health insurance specialist at Axis Financial and a longtime partner in our planning process. This episode dives into why your health is actually a greater predictor of retirement success than your assets, and why waiting for a medical issue to arise is like "closing the barn door after the horses have gotten out." Jon shares his expert insights on navigating the complex "alphabet soup" of Medicare, the mid-50s "sweet spot" for long-term care insurance, and the various ways to bridge the health coverage gap if you retire before age 65. We also discuss the vital business side of insurance - explaining why an unfunded buy-sell agreement is just a piece of paper and how key person coverage can protect your company's future.
Tune in this week on P&L to learn how to proactively manage your health risks and ensure your financial plan survives the "what-ifs."

"The greatest predictor of a successful retirement is health. It's more important than building the assets." — Rob Schulz
This week on Priorities & Lifestyle: * The Health Hurdle: Why being "proactive" is the only way to avoid the rising costs of insurance stacking. * Navigating the Medicare Maze: Understanding Part B timing, the 63-day enrollment window, and the "alphabet soup" of supplemental plans. * Long-Term Care Strategies: Why 10-pay policies and mid-50s enrollment provide the best protection against rising premiums. * Funding the Buy-Sell: The difference between a legal document and a financially backed plan that actually protects business partners. * Bridging the Gap: Comparing ACA Marketplace plans, short-term medical, and faith-based coverage for early retirees.
Our Favorite Quotes: * "A lot of brokers can give you prices, but I feel like our business is more geared towards the service side, making sure people properly understand what they're getting." - Jon Thurmond * "The biggest thing that we can't predict in a person's life is how much money health-related expenses are going to cost them." - Rob Schulz * "If you don't fund a buy-sell agreement, then it's just a piece of paper. It's a plan, but there's no financial backing." — Jon Thurmond

This week on P&L, I'm joined by Chad Huffhines, a prolific Jersey Mike's franchisee who has mastered the art of rapid scaling. This episode dives into Chad's transition from the corporate world at Chipotle to building a sandwich empire that grew from a single store in 2010 to 37 locations today. Chad shares his unique perspective on the "economy of scale," explaining why growth actually becomes easier once you move past the initial "wall" of six stores and how a deep pool of internal talent is a business's greatest asset. We also discuss the non-negotiable hierarchy that governs his life - God, family, and then work - and how he is currently navigating the transition of bringing his son into the business as a 50/50 partner.
Tune in this week on P&L to learn how to scale a high-volume operation without losing sight of the values that started it all.

This week on P&L, I'm joined by Rick Larkin, the former president and co-founder of a transportation company. This episode dives into Rick's entrepreneurial journey, from bootstrapping a trucking company in 2011 to its strategic sale in late 2022. All too often, business owners go to sell their business and find that the value wasn’t what they were expecting. Sometimes that’s a positive thing, and it’s often a negative.
This week on P&L, Patrick Lange joined me to discuss business valuations, why you need them before you even think about selling a business, and the emotions that are often tied to that number. We talk about what owners need to expect when selling their business, why it’s important to be realistic about what it’s worth, and the transition process that happens when businesses are passed down to children.
Tune in this week on P&L to learn your business’s true value.

Matt Michel joined me this week for a deep dive into the psychology of a business owner when selling their business. We spoke about the differences between owning a “job” and owning a “business”, the importance of culture both within your business and your family, and the careful balance of passing down wealth. Matt shared the ways that selling a business results in a loss of identity, and the ways that business owners can cope with the “loss” that accompanies those sales. He also spoke about his books, and why it’s so important to him to write these stories down for future generations.

This week’s episode of P&L is a bit unique but still very relevant to anybody in business: I invited Robin Marriott, founder of Manners Mean Money, to share with me why manners and etiquette are still so important in business. As business dress codes have been less strictly enforced and the younger generations enter the workforce, proper manners may seem to be something that we used to do in business. But, even though social norms have changed, there will always be a place for courtesy and respect. Robin shared with me some practical tips to keep in mind when meeting with clients, how things have changed since she started her business, and how COVID has impacted social etiquette.

John shared how he got involved in the venture in the first place, what makes franchisee businesses so unique from traditional businesses, and the benefits and disadvantages of working under a main corporation. We also talked about the importance of investing in the properties that his franchises sit on and how he sees his business evolving in the coming years.
Join us this week on P&L to learn all about franchising!

Steve Conwell, Founder/CEO of Final Ascent, joined me this week for a conversation all about optimizing your business’s exit strategy. Steve actually went through a business sale himself years ago and realized that their strategy wasn’t the best and, had he known what he does now, the sale would’ve gone so much smoother. So, Steve founded Final Ascent, where he now works with business owners years ahead of selling their businesses to make sure they’ve got all their ducks in a row when it comes to sellability. Steve actually recommends starting to prepare to sell your business at least 3 years ahead of the sale, and he walks me through his entire process and some key things to watch out for if you’re a business owner who wants to streamline your company.

“So, you know, there's a life cycle of a business. It extends past our life cycles. "If you are running a business as a family or an individual, and you look at the capital the company is accumulating and you possess that as yours, it changes your thinking. But if you are a CEO hired to run a company and look at those assets, always focusing on the best utilization of those assets, the fact that assets exist, they're worth something, doesn't bother you." - James Sellers

Pete represents both buyers and sellers and has learned over the years the best ways to make sure the deal works out smoothly for their clients, including a huge focus on tax planning throughout the entire process. Pete and I discussed the current business sales environment, how it’s changed over 30 years, and how current tax laws affect sales. We also talked about the best ways for business owners to negotiate their post-sale compensation, including salary, if they choose to continue to work after the sale. Eric Wessinger successfully managed a family business transition at Richards Supply over the course of around 10 years. His journey with the company began as a summer job, involving various roles while growing up, before he pursued a different career path for about a decade. Returning to Richards Supply with newfound perspective and experience, Eric now shoulders the responsibility of maintaining the family legacy and ensuring its success.
When Eric returned to Richards with the intention of leading it, there was obviously a bit of employee resistance to the idea of the owner’s son taking over. To address this, Eric adopted a humble and honest approach, working with existing employees to make sure that the company’s culture and processes remained. And with two high school-aged children, Eric is pretty open to the possibility of involving them in the third generation of the family business.

"I know of family members that aren't involved in their family business and still want to be involved, still want to kind of have their say even though they have nothing to do with the business. I've been really blessed and lucky that I don't have that situation. I'm fully autonomous to run Richards the way I want, and my family allows me that freedom.” - Eric Wessinger

Our Favorite Quotes:
"I see you being somewhat risk smart in some of these decisions that you make that I applaud you with, because a lot of times we don't see that with entrepreneurs. They'll just chase all those bright, shiny things and not even think about the risk. But you've done just a really good job of developing all your businesses in a way that you're looking and going, yeah, no, I don't think I'm going to do that because I don't totally understand it or it's way off over here, or it's just not what I do." - Rob Schulz
"But I only have the capacity to do so many things at a time, and it's much better and much better use of my time to focus on two or three really important, high value things that I can be laser focused on, then kind of pinging all over the map with every great idea that comes along." - Jeremy Brandt

Dane Craig is the founder of Dakota Distributing, a company he recently sold after over two decades. Rob and Dane focused on what it means to sell your business, how he came to that decision, and what it’s like for him in this post-sale environment. "If I ever got to the point where I was just running a business status quo and I was just there pulling a paycheck and not contributing as much, it was time to put it in the hands of somebody else to take it to another level, because I did not want to be complacent and I did not want to be a drain." - Dane Craig

“Well, if I went for top dollar and sold to one of my multinational, multibillion dollar companies, they could have swallowed us onto their platform and released some employees. Okay, Dane's pocketbook would have looked good, but Dane's mind would have messed up because I hurt a lot of people.” - Dane Craig

Jamie Rindler, founder and president of Marvel Group, has spent the last decade specializing in the business of spine surgery, despite not being a doctor himself. His history with and perspective on the industry led to the Marvel Group's patient-centric spine surgery program and business practices, a unique and successful approach in the medical industry. Rindler's experience in the spinal surgery space led him to create a program that facilitates partnerships between hospitals and private practice spine surgeons, attracting new patients with a unique "patient promise" - a surgery guarantee that covers a patient's out-of-pocket expenses if they require an unplanned follow-up surgery within the first year. He believes this guarantee sets Marvel Group apart from other companies in the industry and brings much-needed business common sense into a convoluted industry. Join Rob Schulz and Jamie Rindler on this episode of the Priorities & Lifestyle podcast to learn more about this innovative approach.

"[As a spine surgeon], you can be a rockstar, or you could be less than [that]. No one knows. You get paid the same. And there's such a demand for these surgeons that you can go your whole entire career like that." - Jamie Rindler

I can work with humans and people and help people." - Rob Schulz
"The surgeon decides what medical device technology they're going to use, what biologics they're going to use, what time of day they're going to operate, what the treatment protocol is afterwards. The current state of the economy is not exactly bullish. Disruptions left and right, scandals in the crypto industry, and inflation and interest rate hikes are all over the news. It’s tough to make a good call under these conditions, but you can mitigate some of the risks if you know where to put your money. How do you make sound financial decisions in this market? What are some best practices when investing during these times?
In this episode, Austin joins me to discuss the market and why we’re still bearish. We explain the differences between the economy and the stock market and why the first year of Covid-19 exemplified them. He shares his thoughts on tax codes and why tech companies need to be regulated more. He describes his trading experience and what he’s currently looking into for investments. We also deliberate on what’s happening on the crypto side of things, especially with the recent FTX scandal that rocked the crypto industry.

The past two years have been—and still are—extraordinary times. With extraordinary times come unexpected market shifts and economic uncertainties resulting in concerns over retirement funds. While we do pride ourselves on being the best at managing our clients’ finances, we’re not bold enough to predict what the market will do tomorrow, next week, or the following year. What we can do is reassure our clients that the planning and asset management we do will keep their money safe and mitigate—if not prevent—long-term losses.
In this episode, I’m joined by my partner, Austin Smith. We discuss our long-term business plans and the phone calls we receive from worried clients. We explain how we prepare for economic downturns. We describe what it means to invest through cycles to mitigate risks. We share what we think of market gurus who believe they can time the market. We also highlight the importance of setting up a plan after selling your business, especially if your kids inherit your assets.
"The first thing we want anybody to do if they have a concern is to communicate with us." - Rob Schulz
