Cyberattacks are not going anywhere soon. The risk of a data breach has been steadily increasing for businesses over the past decade. In fact, in Q3 of 2021, there were more data breaches caused by cyber attacks than there were total breaches in 2020.
These dynamic and new threats are coming up constantly. According to the 2021 Business Aftermath Findings:
58% of small businesses have been impacted by at least one data breach or one security breach.
45% of small businesses spend between $250,000 and $500,000 to cover the cost of a breach.
15% had to reduce their headcount to cut expenses following the breach.
Moreover, around 85% of data breaches are caused by human error. And while cyber breaches significantly affect large enterprises, small businesses aren’t immune either.
In this episode, I'm discussing some recent data breaches and some important lessons and takeaways for U.S. businesses.

In this episode, CGL partner Keri Kelly and Robert Glaser, Managing Principal at Conduit Privacy Solutions join the conversation to discuss operations, privacy, and data security. They also dig into the link between privacy, legal, and IT – a triad of elements to form a single operational program.
Discover:
Security and privacy need to be part of the fabric of your organization. To do this, it should be part of everybody's job from the executive suite down to customer-facing employees. It’s not just about the policies and procedures, but about making a culture of privacy inside the organization.

Founders have a tendency to avoid seeking legal advice in the early stages. That is completely understandable considering the limited resources they have. However, this could lead to compliance issues down the road.
From the outset, the cost of legal advice can seem really intimidating, but it is always more expensive to fix what has not been done right. Fixing legal mistakes can be significantly more expensive than being compliant.
In today’s episode, we discuss five common mistakes early-stage startups make and some ways to avoid those to set your company up for compliance success.
If you have any concerns about compliance, it is best to reach out to an attorney who can help you navigate this because there can be catastrophic consequences for non-compliance.
Building a relationship with an attorney who's experienced in these issues can help you avoid the mistakes that most startups make because there are consequences, and they come with a hefty price. Ultimately, a good lawyer can help you strategize, mitigate risks, and help you make the most informed business decisions.

In this replay episode, I speak with privacy expert Jessica Clark about her journey to distributed work with CGL. She explains how she moved from a fulfilling job with the FTC in Washington D.C. to a leafy suburb in Canada. She also discusses why she didn’t want to (or ultimately need to) choose between her career and the lifestyle she desired.
To be sure, Jessica’s story shows the value of distributed work for lawyers. However, in her experience, the clients benefit too.

Do you remember the toilet paper panic buying scenario during the onset of the pandemic?
Since the beginning of the pandemic, supply chains have been making headlines. The supply chain struggles have affected most of us in one way or another. And if you’re following up on what’s going on with the baby formula shortage right now, it’s an undeniable fact that supply chains significantly impact our society and economy.
Supply chain strains are caused by various factors, from shutdowns and the rising cost of production, to trucker issues, warehouse, and worker shortages, reduced inventories, inflation, and a whole lot more.
From a business standpoint, this could become a major problem over time – and contracts play a huge role in improving your supply chains while reducing the risks involved.
In this episode, we discuss how you, as a business, can better your supply chains with better contracts. We also outline other things to consider when renegotiating your supplier contracts, which is especially relevant in this post-pandemic world.
Finally, we can’t stress enough the importance of having transparent communication about your supply chain issues with your potential purchasers. Transparency helps you meet your compliance obligations. It also better manages your consumer expectations thereby maintaining trust, protecting your brand, and reducing complaints or negative reviews.

Many startups see venture capital financing as a sexy way to raise funds and it has become more available in recent years. In fact, last year was a record year for VC investment.
VC or venture capital is a type of financing that relies on private investors who invest funds into a startup in exchange for equity. This is attractive to some startups because it is available at the company's early stages before the company is profitable. While VC financing comes with a host of advantages, it’s also not without its drawbacks.
In this episode, we cover some common legal issues that founders run into when it comes to VC funding, as well as some tips and tricks when seeking VC investment.

The laws surrounding employee and independent contractor (IC) classification and compliance in California are complex. It’s an area fraught with risks so it's really important that you understand the potential risks that come with bringing in additional workers before you take that leap.
In this episode, learn some things you need to know when it comes to classifying and hiring independent contractors in California. If you're unsure, it is best to err on the side of treating a worker as an employee, then from there, you can see if they fit into the independent contractor classification based on the tests we will be discussing today.
However, the risk can be very high and it’s complicated to figure out proper classifications. Therefore, if you really want to make sure to stay compliant, it’s best to be working with an employment attorney even before you hire your first employees and contractors to just mitigate that risk of hiring anyone. And don't just think this only applies to early-stage companies because a lot of more mature companies still end up misclassifying employees as independent contractors.

In this episode, CGL partner Jenny Gumer joins us to discuss ways to balance urgent work with important life events - so you get the best of both worlds.
Since life is always changing and the things around us are always evolving, balance is a work in progress. What is balanced for us at one point may not be balanced at a different point, and so you have to find what works for you at any given point in your life.
A large element of this is being mindful of your relationship with work. This is key if you don’t want to end up compromising things in your personal life. At CGL, we take pride in creating a workspace that allows our employees the autonomy to do that.
It’s essential that we all make an effort to invest in ourselves – and that includes taking some time off, doing things to keep you healthy and stress-free, and making your life full and rich, whatever that means for you.

As business owners, we want workers to not only get the work done, but also to stay motivated, engaged, and creative. Unfortunately, some companies and workers still believe that working long hours is the only way to be profitable and productive.
The 4-day workweek trials taking place around the world are challenging that misconception, however. While also reducing the risk of burnout and employee attrition.
While it comes with benefits, implementing a 4-day workweek does come with challenges and compliance hurdles. For instance, there are wage and hour laws you need to comply with. This path also requires some cultural change, an immense amount of planning, and most importantly, the buy-in from top management.
In this episode, we discuss the data that supports the benefits of a 4-day workweek as well as what you need to consider should you decide to implement it.

In this episode, CGL partner Jenny Gumer joins us to discuss some regulations around CBD products. Currently, the regulatory landscape for CBD products is a total mess and the only road out of all this confusion is if the FDA changes its stance on CBD and introduces federal regulations. Once (and if) that happens, states will then align their regulations with the federal regulations, resulting in increased uniformity and certainty.
Until then, it’s going to continue to be tough to navigate the CBD regulatory landscape, and impossible to comply. And so, the trick is to balance the risk of enforcement against the costs of compliance, and for businesses to make decisions based on their individual risk profiles and strategic goals.
Ultimately, any company selling CBD products should seek advice from an experienced attorney in the state the products are being manufactured, as well as any state where they're selling a significant number of products. This will help the company cover its bases with local manufacturing regulations as well as align labeling with state regulations where most products are being sold.

If you are a startup founder/owner, be sure to listen in to find out more about worker classification, minimum wage requirements, and how you can protect your company when hiring contractors or employees.

CGL senior corporate paralegal Sean Agranov joins us today to talk about why you shouldn’t lose your EDGAR codes. The EDGAR system stands for Electronic Data Gathering and Analysis and Retrieval system, which is used to submit most filings to the SEC to provide transparency and information to investors, analysts, and regulators. Access to the EDGAR code is strictly controlled, yet it’s also the most important code that you should not lose.
Working as a paralegal for over 20 years now, Sean has spent many years developing his expertise in corporate transactions as well as corporate governance and general corporate and securities matters. Sean has a wealth of knowledge having worked with the SEC public reference room when the SEC piloted the EDGAR program.
In this episode, we leverage Sean's experience as a corporate paralegal to discuss the importance of corporate governance hygiene to make things more efficient in the long run and save some legal costs. And even if you're not a public company and you don't have an EDGAR code, any information discussed here is still going to be helpful and relevant to you.

Intellectual property (IP) provides a competitive advantage for tech companies, whether it’s their main source of generating profits or they’re establishing the business's value. However, many of these companies mistakenly believe that patents are the only form of IP and IP protection, but it’s not. They don't realize they also own other potentially valuable IP. Therefore, early IP protection is critical for startups, especially before they publicly launch their products and services.
In this episode, we talk you through some key IP issues we encounter in our representation of founders, startups, and entrepreneurs. We know it's not the sexiest legal topic. But the consequences for making some of these common IP mistakes are huge.

Have you heard the term “supermom?”
This is a topic that’s very near and dear to my heart. I get messages all the time from people asking me how I am always put together. However, social media doesn’t give you the full picture. There is no such thing as a super mom; it’s a fallacy.
In this episode of Conversations with CGL, I’m diving into the topic of supermoms. I’m explaining who they are and what they do. Then, I’m going to tell you why the myth of the supermom is extremely problematic. Tune in to hear about the supermom fallacy and how to let go of it.

Here at CGL, we are all about promoting happiness and balance for our team. Even before the pandemic, we were having conversations about the relationship we as a society have with work. These conversations are now at the forefront for many other employees in the country as well. Because of this greater emphasis on balance in the workplace, the issue of burnout and a lack of work-life balance has been coming up a lot.
So today we want to share our thoughts on balancing happiness and success with the realities of legal practice. We want to provide some insight into how we here at CGL think we’re making a difference, while also identifying areas where we still have work to do. We hope that by bringing up these issues and having an honest conversation about them, the topic will stay on your mind.
We want to see more options for attorneys and all white-collar professionals who crave balance and happiness. This is an attainable goal that just comes down to changing the narrative around work. Tune in to hear ideas that will give you some food for thought on this topic.

Many of us look at money and see only money. It’s simply a number of bills in our hands or a virtual number on a screen.
However, we have the ability to give our money meaning. If we were to view our money through the lens of what it can do for us, everything would change. We would start to understand how it can give us the life of our dreams, provide us with the legacy we desire, and help us reach our greatest goals.
Today I am talking with Marielle Schurig about this new way of viewing money. Marielle is a wealth advisor at UBS Financial Services in New York City. In her role, she works with many entrepreneurs who are going through a transition by helping them adopt a new perspective on money. She helps them develop an empowering relationship with money and to start to see all it can do for them and the people they care about.
Tune in to this episode to hear more of Marielle’s amazing insights into changing the narrative around wealth management.

As founders begin to grow their businesses, they need to protect the company’s confidential information. Non-disclosure agreements, or NDAs, are a tool for this. These agreements are critical when building partnerships, exploring new business avenues, and scaling a company. They may not be at the top of your to-do list, but they are helpful for avoiding unnecessary pitfalls as you grow.
In this episode, we are doing a Q and A on NDAs. We are answering many of the recurring questions we receive around this topic. Listen in for some insight into NDAs.

The current climate of corporate America is one of innovation and adaptation. Executives have been forced to find new ways to run their businesses. It’s hard to meet someone who hasn’t experienced job cuts in one way or another.
Given the current economy, us covering the topic of the ideal worker could not be more timely. The topic was first defined decades ago in what was then the ‘modern office’ workplace. The ideal worker was the employee who showed up every day and did their best work no matter what. If their child was sick, their house was flooded, or anything else occurred, they still didn’t miss work.
Obviously, the ideal worker has changed. Everyone is wondering what the modern ideal worker is and how they can become one themselves.
Today, my co-founder, Noam, and I address this concept. We discuss what today’s ideal worker looks like and how that affects the economy.

Over the last few weeks, months, and years, there have been a lot of developments in the privacy world. For instance, Californians voted to replace the California Consumer Privacy Act with the California Privacy Rights Act (CPRA) in November. Additionally, the new administration is likely to be more privacy-minded, and they’ll also need to renegotiate legal transfers of personal data from the EU to the US.
COVID-19 has also resulted in significant changes, largely due to the movement towards work-from-home arrangements. People are now handling and processing confidential information on their own home networks, posing some serious security risks. So, how do we continue to protect privacy where workforces are distributed?
With all these recent developments, CGL privacy counsel Jessica Clark joins the podcast to help us navigate the privacy ecosystem. She talks about what these changes mean and what to expect in 2021.
We also tackle the biggest question: what should companies be doing moving forward given the risks involved?

With our background in the cannabis industry, we thought the “mushroom market” would be worth discussing given their similarities (and differences). The regulatory environment around these emerging ‘drug’ markets is unestablished, which is incredibly interesting from a legal perspective. Here, we delve into some potential scenarios for the mushroom market and what that means for consumers.

Today, we talk about a topic very close to our hearts. In fact, it’s at the core of the CGL business model – distributed work.
CGL started as a distributed company from day one. It was the type of working environment we wanted to set up for ourselves. Later, that blossomed into a space we wanted to create for other people as well.
We recognize the terminology "virtual law firm" has a lot of negative connotations. When you call yourself a virtual business, people have preconceived notions and misconceptions around what actually that means. The change in terminology alone from a virtual firm to a distributed company has been a powerful shift that bypasses those misconceptions. Ultimately, it has allowed us to positively change the nature of ‘work’.

In this episode, I speak with CGL partner, Jenny Gumer about the impact of changing regulations on cannabis businesses. One of the key issues outlined is the importance of cannabis companies having regulatory, commercial, and corporate counsel work together when advising cannabis companies.
Like other businesses, cannabis companies benefit from input from corporate and commercial attorneys. But it's crucial that it’s supported by regulatory counsel because of the complexities in the regulatory ecosystem that governs the cannabis industry. .
