Am I not eligible for payroll for those days while the case is ongoing? and why did the company take more than a month to decide?" - Lino G. What if youโre going to sell a property you inherited but itโs still in the name of your parents? How should you settle the estates of a deceased married couple? Where should you pay the estate tax for each of them? A lot of the properties we help buy or sell, are usually inherited properties that are still in the name of the parents, grandparents, or even siblings of grandparents. And the big problem here which complicates the sale is that all their estates have not yet been settled. This is the question of one of our viewers, Anthony and he writes: โProperty is located in QC with both names under mother and father. Mother died in the province as indicated in the death cert. Father died in QC as indicated in death cert. My father died a few years after my mother. Will the estate tax be settled 50% in the province and 50% in QC?โ If youโre having issues transferring your land or have issues transferring the properties of a loved one who passed away, we have something that can help. We recorded an FAQ session where we answered the most common questions related to estate settlement. You can access the recording by going to https://legalaccess.ph/ and choosing the estate settlement topic there.

Not the one who dances, but for you to understand what is the main reason for the positions. That way we can choose wisely who will govern efficiently for their own positions. So in this video, we will be talking about multiple positions, that will be governor, Mayor, councilors, and board members. So let's get on with it. What are the roles of the people in the barangay?
And, who would you know who's fit for the position you'll be voting for in the barangay.
When you leave the house, the first officials you'll see are from the barangay.
Tanods are included because they're the frontliners when it comes to government units. But not a lot of people understand.
What are the jobs of different people in the barangay? And, if ever you don't understand what their jobs are, how will you vote correctly?
Because if you don't have a base knowledge of what their jobs are for, this will be your grounds,
"Ah! I know this guy!" Or "That's my neighbor."
But that might not be the best grounds for voting for a candidate.
So in this episode, we will be talking about the smallest government unit there is, and that is the Barangay and its officials.
This episode is a joint project with a Counselor Institute, a nonprofit organization that provides research, policy formulation, advisory, and public communication to create government policies guided by science and research.
Go to www.counsellorinstitute.org for more information.
We will be diving into different people we put into enforcement and rulemaking capacity.
This time, we'll raise it from barangay to the city and provincial levels. For you to understand what we're pointing out. So we look forward to seeing you there.
So wasn't that simple?
Now go make better choices.

Did somebody give you 1 share or 1% share in a corporation just because they needed to complete the minimum number of shareholders?
We see this a lot in family corporations and businesses. Stockholders whose names are placed in the corporation as owners, when in fact they donโt have any investment in the corporationโฆor theyโre not even involved in the corporation at all.
Many times we find that the owners of a corporation include the names of the ownerโs children. Sometimes you will even see secretaries, drivers, or even household helpers named as part owners of the company.
So our question for today comes from Marie G, and she writes:
โAttorney, my friend started a corporation many years back and he asked me if I can be a dummy stockholder for him along with his girlfriend, his mom, and tita (auntie). I agreed. I think he gave me 1%.
Since then I do not have any update on what happened to the company. Sometimes my friend makes me sign things. But when I ask him about it, he tells me that these are routine documents. Iโm worried I might get sued someday. What are my rights as a dummy? โ

Have you ever signed a document, had it notarized, and wondered...
What's the purpose of all this? Do we really need to have our documents notarized all the time?
Everyone, at some point in their life, has or will experience going to the notary and having their document notarized.
We can find notaries everywhere, from the big law offices in Makati and BGC to the side streets close to city hall.
So our question for today comes from our anonymous reader, whom we will call "Jhun-jhun" and he writes:
โAttorney, I lent my friend a big amount of money. Nahihiya po ako to say kung magkano (Iโm ashamed to say how much it is). We signed a document where my friend acknowledged that he owes me the amount. When my wife learned about it, she got angry because we did not notarize the document. Are you considering putting your property in the name of your kids (by selling or donation) as some sort of succession planning tool?
We hear this all the time. Parents buying properties, thinking of their childrenโs future, putting it in the names of their kids so that even as kids, they already have assets.
So our question for today comes from Lani H, and she writes:
โAttorney, If parents sold the property to one of their children; do they need other children's consent? It is useful because nowadays, one sibling can just persuade his/her parents to sell their property to him which serves as a home to other siblings. When the Deed of Sale is executed and the ownership is transferred, the sibling who bought the property can evict even his parents and his other siblings.โ
If you were wondering about the same thing, stick around.

If the employee resigns and they've completed the turnover, are they required to stay?
How can they leave even if the 30-day turnover isn't done yet?
A lot of resigning (or about to resign employees) have this on their mind just like our reader, Kira, who asks:
"Atty, I have recently resigned from my job due to family matters and conflicts. I gave the resignation letter to our manager on the same date. I also endorsed and turned over all the files to my co-workers. I asked my boss if I can just render a 1-day turnover, to which he said no. I said that I won't come back anymore. Can I do that? Can I still get my COE and final pay?"

How do you terminate an employee properly in the Philippines? Are there requirements that need my attention as a boss?
This seems to be a recurring question from our readers and clients so we decided to make a video out of it.
Just like our reader, Kyle, who asks:
Attorney, I have an employee that committed a violation at work. I was about to tell him "You're fired!" but my business partner held me back and told me to calm down. She also told me to follow due process, but I have no idea what that means. Can you help me?"

So you've passed your resignation papers, and you're now turning them over with your previous employer.
But you're wondering "What am I supposed to be doing right now?"
Just like our reader, Luchiel, who asks:
"I just want to clarify things regarding my resignation. My employer asked me to present a report to the board of directors because my manager canโt report it. Am I allowed to decline because I am just an associate?
Second, should I just do my turnover and clearance during this period and not do the "business as usual" because I already have a replacement. Thank you for answering. I really need some advice."

A good indicator that a business is being run professionally is if they issue employment contracts to employees.
It takes a mature business to realize the value of an employment contract and use it to make its legal systems easier to run.
But the employment contract leads to so many misconceptions, both on the employer's and the employee's side.
One of the most common questions we get on our site is a variation of:
"Attorney, my employer didn't issue me an employment contract. Can I immediately resign?"
Or on the side of the employer, they ask: "Attorney, I want to terminate an employee. I didn't issue him an employment contract. Can I just remove him now?"
If you've been wondering about the same things because of the lack of an employment contract, stay tuned.

They say that "The key to a happy life is a happy wife.โ That's for romantic relationships, but I think that principle applies equally to business relationships. Having a good partner ensures that all of your actions are in line and you can focus on external challenges as a team.
This is one of the things our student, Sam, was thinking of when he asked:
"Attorney, I'm currently setting up a business and I want to ask a friend to be one of my business partners. But since this is the first time I'm doing this, I'm not sure if this is the right direction. What should I look for in a business partner so that we can have a prosperous and legally-smooth business together?"

If you're buying real property such as a lot, condo or house, then congratulations! It's going to be helpful if you're confident with all of the documents and the title transfer process. At some point in the process, you will encounter the CONTRACT TO SELL, one of the most common legal documents out there.
But some people ask, "What exactly is a Contract to sell?" Most people keep signing it without understanding what it's for. Sometimes they ask "How is this different from a Deed of Absolute Sale? How do i make one and ensure that it contains everything that i need." If you're asking the same thing, then stick around as we talk about it on today's episode. So, how many of you have family properties that are still in the name of your grandparents... Or, worse, how about great grandparents? Yeah.
How many of you are worried that the government will charge you so much in back taxes and fees?
There's a lot.
Now, how many of you would like to get all of these issues settled legally with the most minimum taxes?
That has the most amount. Day in, and day out we see this.
Families don't transfer their properties from their parents or grandparents because they're all afraid of how much it will cost.
So what happens? Many times they ignore the issue or leave the problem to the next generation.
Usually, some of the kids from the next generation, go abroad, build their lives there and only deal with the problem when there is someone offering them to buy the property here in the Philippines.
And this is exactly the situation of one of our readers, Elaine G.
"Attorney, my mom, and her siblings inherited property from our disease lolo sometime in 2001.
It was our ancestral home, located in a town center. They didn't do anything to transfer the title to them. They recently decided to sell the property and got a very good offer.
We found out that we still need to pay estate taxes from when my lolo died.
This is potentially very big since he died in 2001. Is there any way to get a discount or some consideration from the tax?
My mom is currently living in the US and had no idea that this needed to be paid at the time. It seems unfair that we will now have to pay for this. Is there something that we can bring or ask the BIR to do to get any discounts or deductions?"
If you or anyone in your family is in a similar situation as Elaine, stay tuned.

It's nice when you have enough time to take care of everything in your life, from your business to personal transactions, or even deal with the government.
Having an abundance of time is such a great blessing. But, what if you have some things to look out for? But you're too busy to get it done?
What if you have to claim a document from a government agency and you just can't get a leave from work?
What if you need to apply for something important? But things at the household are keeping you there.
Now, this is exactly what one of our top fans, Sheigh M...
"Attorney, I often encounter anSPA when it comes to banks and government agencies. I just comply with it to get the transaction over with. But I've always been curious about what it meant and how to make it myself. Now, I may need it because I'm going to the province but my condo is in the middle of being sold. What if a buyer comes in while I'm not there? Can you help me authorize my brother so that he can act in my place?"
If you ever found yourself in the same situation as Sheigh, Stick around as we explain this.

Are you in the process of buying property from someone only to find out?
Wait, wait, wait...
It's still in the name of their parents, or worse, their grandparents. Or are you trying to sell property that you inherited but the title is still in the name of your great grandfather?
Buying property plays such an important part in our day-to-day lives. For some, it can mean fulfilling a lifelong dream to provide shelter for their family. For some, it can be the next step, like starting a business where the possibilities are endless.
Many times it involves a relatively big investment on the part of the buyer, which is why it's very important that the transaction is as risk-free as possible. So what happens now if the property we are about to buy or sell in is in the name of someone who died long ago? Is this a deal-breaker? Is there something fishy going on? If not, how much additional effort is involved when dealing with this situation.
So our question for today comes from Bernadette... And she writes:
"Attorney, my husband and I are finally ready to buy property for our young family. We found a house and lot which fits our needs and our budget. But when we started talking to the sellers, we found out that the property is not in their name. It's still in the name of their parents. This raised so many red flags for me (sayang.)
It's a shame because we really like the property. How difficult is this situation to solve? What should I look out for? If you or anyone in your family is in a similar situation as Bernadette, stay tuned!
Learn the next steps your family needs to take so you don't incur penalties and you can transfer the property properly.

When a person does something wrong, itโs only fair that we hold them accountable for what they did, right? But what if the person wants to wash themselves of responsibility or wants to escape the consequences of what they did?
This happens in work situations when a person is under investigation for a work violation, and suddenly, they say, โSir, resign na lang po ako ako.โ What then happens, what effect will it have on the pending case? This is exactly what Angela N. is wondering about when she submitted this question on our website and she says: โAttorney, how do we manage employees with pending admin cases who would like to resign while their case is still ongoing. Should the leaders/HR consider/accept the resignation? How would the HR/Leaders handle this?โ If you would like to know the answer as well, stick around as we talk about your options.

What happens when you meet the love of your lifeโฆbut youโre already married? What can happen if someone starts another family without first properly ending the first marriage?
Paraang may naaalala ako diyan na kanta.
While having multiple families is generally not acceptable in our society we seem to always hear this happening around us. Our gossip magazines and websites are full of stories ranging from our favorite actors all the way to our politicians. Regardless of the reasons or justifications, regardless of your personal or even religious beliefs on this matter, the law will have something to say about that. There will be legal effects to this situation which cannot be swept under the rug and be healed through time. So our question for today comes from JOY, which is not her real name because she asked to remain anonymous.
She writes: โAttorney, maybe you can help us. Our mom and dad have been together for 37 long years and they have 3 kids. My dad met my mom when they were OFWs and were both stationed in Riyadh. They are still in love now as they were when they first started dating. They are so happy in love together and there is no denying that they are each otherโs soulmate.โ But Attorney, there is a bit of a hitch. My dad was married for 2 years to another woman and they had 2 kids. My dad claims that he was only forced to marry her because he got her pregnant but they were never compatible. They split but never formalized anything. My dad was already separated from his original wife long before he met my mom. My father is in contact with the original family and we are civil with each other. But heard that the original wife still has bad feelings against my dad and his new family. Should we be worried?

How many of you have lost things before? How many are prone to misplacing things all over the place? We leave umbrellas, we leave keys, and even cellphones behind all the time.
Most of the time, we can replace them anytime as long as we can buy new ones. However, the hardest to replace are documents that have legal significance. Driverโs Licenses, School or Company IDโs, or Certificates. When these get lost, we are usually required to submit an Affidavit of Loss.
As a non-lawyer, you may be asking: โAttorney, what exactly is an affidavit of loss? Why do they ask me to submit it? When I submit it, what exactly am I saying there? Can you explain it to me before I sign it?โ If youโve ever signed an affidavit of loss before but never understood what it is, stay tuned as we explain it to you.

Have you ever heard of a Last Will and Testament? What do you think happens when you encounter this here in the Philippines? Atty. Erwin, what is the first thing that comes into mind when we think of Wills? Let me guessโฆmay malaking sala. Everyone is seated. Nakaitim lahat. Darating na si Attorney na matanda. Naka black suit. May dalang malaking attache case. Bubuksan. Babasahin yung WillโฆTaposโฆ Is it really like that?
Our question for today comes from Emily S. who asks: โAttorney, please advise us. My father died 6 months ago due to Covid. We found a handwritten Will among his things. The Will says that it leaves 2 of his properties to my mom, to me and my siblings. Can we submit my dadโs Will to the property registration office so that they can transfer the titles to us? Most fights happen when one person does something that the other wasnโt expecting. It can also be the other way around when a person fails to do something that the other was relying on. In all relationships, you can resolve a lot of conflicts before they happen if you set the proper expectations at the start. Each person would know what is expected of them, and what behaviors they can expect from others as well. And the same thing goes for work relationships.
Today let's talk about setting expectations properly at work. Most businesses do this by creating a Code of Discipline. And that is exactly what our reader, Ely, is going thru when he asked:
"Atty, what are the things that would guide us when establishing a Code of Discipline both for start-ups and for companies with existing codes?"
Today, weโll share some thoughts that would make the creation and implementation of a Code of Discipline easier. Stay tuned. A loved one has just died. There are properties left behind. Do you have any idea how to get started?
Losing a loved one is a terrible experienceโฆespecially when the loss is sudden, unexpected and possibly preventable. Because of the pandemic, weโve been losing so many loved ones, grandparents, parents, uncles, friends, cousins, acquaintances. These days, we seem to be extending condolences to our Facebook friends and acquaintances at least once a week.
When there is a loss in a family, the last thing we want to do is think about inheritance, settling of their estate and moving on with our lives. But at the end of the day, settling their estate canโt be avoided.
Our question for today comes from Sarah C. who asks:
โAttorney, my grandfather just died. And my mom and her siblings(who are all in the US) have assigned me to take care of transferring everything to us including 3 properties. I donโt know what to do. It seems like thereโs so much I need to do and I feel overwhelmed. Do you have any tips on what I should do first? How I can start this process? โ
If you or your family is in a similar situation as Sarah, stay tuned as we answer her question.

When a relationship ends, it's best for the parties to pick themselves up and move on, but what if there are unsettled matters and unfinished things left undone? This also happens in work situations where an employee resigns or is terminated and yet they don't go through the clearance process. Walang closure, Attorney.
So just like this question from Angela N. who asks:
"With regard to the new policy released by the DOLE about final pay, which is labor advisory 6-2020, what if the employee did not complete his or her clearance due to AWOL and went back to get his final pay? Could we still release his final pay within 30 days after the effectivity date of his resignation? Even if he did not complete the 30 days? Isn't it unfair for the employer if we still release the final pay? How much can we deduct from the employee if he did not complete the 30 day turn over period?"

Have you ever heard this line from your parents? "If you don't study, you'll never get anything from me." Or worse, "If you marry that person, you won't get any inheritance from me." Can your parents leave really you out of their will? We always hear these kinds of statements in the movies or local tv shows. In real life, we also hear these lines jokingly from our parents or even grandparents. For some people, it isn't even said jokingly. Can they really deprive us of any inheritance?
Our question comes today from Rafa and Spin P. Hi Rafa and Spin. And they ask, "Attorney, our father is very strict. He is also a lawyer like you guys. And he wants us to take up law like he did. However, he says that if we do not take up law, we will not inherit anything from him. Is this true?Should we be worried?"

I want to talk about something thatโs wrong with our culture. Thatโs the hiya factor. Especially when it gets in the way of legal matters. I want you to do an exercise with me. Close your eyes and imagine for a moment... your best friend is asking for your help financially. You see that itโs legit, and you want to help. I want you to imagine saying that you will draft a contract for them to sign. I want you to see the other personโs face as you present the document to them, and you hand them to pen to sign it. STOP. I want you to do a self-check. What thoughts were circling in your head?
Did you hesitate when I said, draft a contract? Did you cringe when I said, ask them to sign? Did you feel embarrassed and get concerned about what they would think of you? These are some signs that you have an unsupportive mindset in your head about legal documents. Letโs talk about how they hold you down, and what to do instead.

Are you transferring property to a loved one? Or is a loved one transferring property to you? What is the best way to transfer property between relatives? In the Philippines, itโs typical for parents to transfer properties to their children during their lifetimeโฆEither as a gift, or an advanced inheritance. Sometimes they do this so that the properties are already transferred before they pass away.
Our question today comes from Ronald P., and she asks: โMy parents are old and they want to transfer their house and lot to me so that I wonโt have any more problems when they die. Whatโs the best way for them to transfer the property to me? I heard from my friends that we can choose between a sale or a donation? Which is better?โ If youโre in a similar position as Amanda, stick around as we answer her question.
This video is brought to you by "Transferring Land in the Philippines", a mini-workshop that teaches Filipinos the basic modes of transferring lands and real properties in the Philippines. It provides the pros and cons of each mode, as well as the steps and procedures so that you eliminate your confusion and successfully navigate the whole process. Transfer with confidence! Imagine that you were talking to someone and suddenly you get asked a question.
Turns out you know a lot about this subject.
So you happily answer on and on and on. The person you're talking to seems interested and keeps listening, even taking notes.
You end the conversation and you're happy you were able to help.
But then, you suddenly wonder...
Should I have said that? Didnโt I disclose too much information? What if I get into trouble for saying all of that? Did I tell too much?
Well, it's like TMI or "too much information".
Juli was wondering the same thing when she submitted her question via our Topic Suggestion board.
"Attorney, what information can a previous employer disclose about a separated employee during employment verification?
Is a letter of authorization from the concerned employee a requirement before an employment verification be entertained?"
If you can relate to her, then stick around as we get this sorted out!

"Attorney, one of my employees is habitually late. He did it again for the 3rd time this week. I will have to penalize him and I know that I have to send him a Notice to explain. Do you have any tips for drafting that?"
