For any board operating in the 21st century, cybersecurity is a key aspect of risk management. We’re examining the needs that today’s boardroom has, as well as what the future of cybersecurity holds, as we welcome Larry Clinton to the show.
Larry Clinton literally wrote the book – books actually – on cyber risk management for corporate boards namely the Cyber Risk Handbook now available on 4 continents and in 5 languages. The Cyber Risk Handbooks were written in collaboration with organizations from around the world including the National Association of Corporate Directors, The European Conference of Directors Associations, The Japanese Federation of Businesses, and have been endorsed by the US DHS and DOJ, the German Federation Office of Information Security and the Organization of American States & others PWC has independently assessed the effectiveness of the Cyber Risk Handbooks and found that organizations that use them generate higher cybersecurity budgets, practice better risk management, have closer alignment between cybersecurity and overall organizational goals, and develop a stronger culture of security. Mr. Clinton is also the principle author of the Cyber Security Social Contract whose public policy recommendations have been endorsed by the House GOP Task Force on Cyber Security, President Obama’s Executive Order 13636 on Cybersecurity, and the recently released bipartisan Solarium Commission on Cybersecurity and National Defense. Mr. Clinton teaches a course in cybersecurity at the Wharton School, has testified before Congress on many occasions, has briefed the NATO Cyber Risk Center of Excellence in Estonia and has been featured on virtually all major media outlets from Fox News to NPR to WSJ to CBS to all the major cable outlets including MTV in India

Charlie is a London-based consultant at the global executive search and leadership advisory firm Egon Zehnder where he is a part of the Global Board practice in addition to his work advising clients across the consumer sector and with professionals focused on corporate reputation – from communications to legal, risk and regulatory. Having grown up in Australia, Charlie joined Egon Zehnder following a career as an antitrust lawyer, working in corporate affairs in the retail sector and after 5 years as the Chief of Staff at the global law firm Linklaters. Charlie is a founding member of Egon Zehnder’s LGBTQ+ and allies community ez+ and is playing a key role in driving Egon Zehnder’s efforts to increase both visible and non-visible diversity on Boards and in senior leadership positions around the world. At the heart of this is helping senior leaders “bring to life” the significant leadership strengths they bring to organizations that are linked to their diverse identity and experience.
In today’s episode, Charlie shares his experience finding the perfect board members while at Egon Zehnder. Alan Aldworth was appointed as President and CEO of the Private Directors Association in January of 2021. Previously he was the founder and President of the Houston Chapter of the organization.
Alan served as the CEO of ProQuest Company, a publicly-traded technology company, and as CFO for Tribune Publishing Company. He founded the Education and New Media division of Tribune Company and led it until its sale to McGraw Hill.
He has served on over a dozen boards including public companies, private companies, venture-backed early-stage companies, and not-for-profit organizations.
Alan received an undergraduate degree in commerce and accounting from DePaul University and a master’s degree in management from Northwestern University Kellogg Graduate School of Management.
In today’s episode, Alan opens up about his experience founding a chapter of the Public Directors Association, before taking over as Chief Executive Officer of the organization. He works on leadership development with companies and organizations in the private, public and non-profit sectors. He is the author of the forthcoming, The Edge: How Ten CEOs Learned to Lead – and the Lessons for Us All (2021). Mike is co-anchor for a weekly program “Leadership in Action” on SiriusXM Radio Channel 132, Business Radio Powered by the Wharton School.

One of the largest challenges for new and aspiring board directors can be understanding how to properly prepare for meetings so that you and your cohort get the most out of your limited time together. Although seemingly trivial, this is a huge part of being a great director and a skill that must be practiced and mastered through experience.

Putting women in the boardroom has been a challenge for employers and large companies for many years and has just recently become common place. Starting with the Fortune 1000 companies, today’s guest Malli Gero worked towards women equality and diversity in the board room. Here at Boardroom Bound we encourage and admire diversity and equality in the workplace, and through Mali’s movement we have seen an increase in these qualities within boardrooms from smaller companies all the way up to Facebook.
Malli is the co-founder of 2020 Women on Boards, an organization dedicated to promoting diversity in boardrooms. With a passion for agency and governance, she found herself across many companies and throughout many positions herself, from living in New York City to Boston and working as a PR representative. She has successfully put the first-hand experience gained throughout these positions to help lead Women on Boards from 2010-2017, where she now sits as a co-chair.
In today’s episode, Mali Gero shares her success on reaching 20% women in boardrooms and shares her plans to continue diversifying companies. Her efforts over the last decade have not gone unnoticed and I’m excited to bring all her success to you on this episode of Boardroom Bound.

Peter has a PhD in corporate governance and strategy. He is also a chartered member of the Institute of Directors, and a member of both the International Corporate Governance Network and the Global Peter Drucker Society.

She earned a BA in European History from the University of Pennsylvania and a MA in Art History from Hunter College at CUNY and a Harvard Business School Executive Education Women on Boards certification in 2018.

Initially trained and practicing as a lawyer, her previous roles include Chief Executive Officer of a not for profit organization providing housing and case work support to people seeking asylum, a union leader and Facilitator at Sustainability Victoria.
Helga is also the host of the Take on Board podcast, and founder of two group programs to support women into, and in, the board room.

A board composition matrix identifies the skills, knowledge, experience, and capabilities desired of a board to enable it to meet both the current and future challenges of the entity.
The creation of a board skills matrix is an opportunity for considered reflection and productive discussion on how the board of directors is constituted currently and also how it believes it should best be constituted in the future to align with the strategic objectives of the entity. The board skills matrix should always be tailored to the unique circumstances and requirements of the company concerned.
While developing your matrix, the trick is to focus on the actions needed. Consider what people will do rather than what people are. This can be done by asking two questions:
a) What are the three most important things for our board to accomplish this year? b) Do we have the right people on the board to make those happen?
As we begin our discussion surrounding the board composition matrix and kick-off our mini-series predicated on this idea, we welcome Kevin Rauckman to the show. Kevin is the first member of our board composition matrix mini-series and brings with him unmatched financial expertise. From his experience in global technology, financial services, and manufacturing Kevin has picked up invaluable knowledge which he shares with us today.
In today’s episode, we explore the elements that contribute to financial reporting, growth, business strategy, and operational execution. Today’s episode also addresses many of the challenges aspiring directors may face while trying to land a public company board seat. Kevin’s experience ascending the boardroom ladder helps us learn from his successes, but also the lessons he’s learned along the way.

In this day and age, LinkedIn is as useful a tool as any. It’s vital to represent and brand yourself excellently online. Building a meaningful network while simultaneously selling yourself and how you add value should be the motivation behind your profile. However, simply having a profile is not enough.
LinkedIn has expanded over the last decade to facilitate an incredibly larger pool of users while also offering an increasingly diverse set of applications. Of the nearly 250 million monthly users, how are you to set yourself apart? Where do you start and how can you leverage all the tools and benefits that LinkedIn provides?
To answer these questions, I sought out the expert of LinkedIn profiling, John Nemo. John is an online course creator and the bestselling author of LinkedIn Riches: How to Use LinkedIn for Business, Sales & Marketing! In today’s episode, we engage in how users can differentiate themselves while leveraging all that LinkedIn has to offer. Here are three of John’s top tips on what to focus on when creating your LinkedIn profile.
TIP #1: Make it clear what you do, how you add value, how you can help whoever reaches you. Use your bio and about section to do this really well.
TIP #2: Make personal connections with the individuals you come in contact with by doing research and learning about the individual!
TIP #3: Use your picture space to your advantage. For example, if you’re looking for a board seat your LinkedIn should reflect that in the header

As we transition into a new era of corporate governance, the need to bridge the gender gap is larger than ever. Today’s governance styles depend on bridging this gap, whereas, previous boardroom leadership styles neglected this striking imbalance.

If starting today every new corporate director was a woman, it would take 40 years to achieve boardroom gender equality.
Shocking! This statistic gets Deb Pine fired up. And she's working to change this.
A combination of government mandates, shareholder activism, and advocacy efforts will likely lead to further progress towards gender balance over time.
But to rapidly increase diversity in the boardroom will take a big push. That's why Deb is a part of 2020 Women on Boards, a national campaign to increase the percentage of women on U.S. company boards to 20 percent or greater by the year 2020. Today the campaign is rapidly spreading throughout the U.S. providing education and advocacy strategies designed to encourage change.
On November 21st, all across the U.S. local WOB chapter will be hosting a conversation on diversity. Deb leads the Boston event. And I'm proud to be part of the Steering Committee.

To drive the best results, be specific about what you are offering and asking for. Instead of waiting to be discovered, let people know you are actively seeking a Director role. Amplify your voice through existing connections. Network with purpose!
Being able to articulate your unique value proposition is the best way to “help your network help you.” Your unique value proposition includes not only the skills but also the different elements of your background and network, as well as your personal brand. Too many people overlook this last point: your personal brand is how you market yourself to the world, primarily through your digital footprint, and it should appropriately reflect your value proposition.

After several years of depressing headlines on workplace ethics, it would be easy to give up on this subject.
But Pat Harned, CEO of the Ethics and Compliance Initiative (ECI), thinks there is room for some (qualified) optimism. Though there is also a lot of work left to do!
And Pat would know. She regularly advises senior leaders of global corporations on effective ways to build an ethical culture and promote integrity in organizational activities.
She also meets with the US Department of Justice and testifies before Congress. Perhaps that’s why Pat was named one of the ‘100 Most Influential People in Business Ethics’.
In today’s episode, Pat shares how culture trumps compliance and the key to reducing corporate risk. She explains how ECI empowers organizations to build and sustain high-quality ethics and compliance programs.
And Pat is particularly excited about ECI’s High Quality Program (HQP) Framework Assessment. The HQP Assessment represents a break-through in the ethics & compliance (E&C) industry. Although the need for E&C programs has been around since the late 1970’s, until ECI released the HQP Assessment there has not be a definitive way to measure program quality and maturity.
HQP was developed as a holistic approach toward continuous program improvement. HQP is the first definitive measure of E&C program quality and maturity. HQP can set a baseline for ongoing program measurement. HQP model provides a practical, structured approach to E&C program development.

Betsy Atkins is often asked, “How can I get on a board?”

In the (not-so) good ‘ol days, you had to be a CEO to land a board seat.
It didn’t matter that executives slightly lower on the corporate totem pole were eminently qualified to sit on a board and provide much-needed skills.
Fortunately, in today’s fast-changing world, that old-school CEO-only model for serving on boards is extinct. Nowadays, good directors are coming from outside the traditional C-suite.
Appealing board candidates are now those who have served as president of a university, or who hold a leadership position within the federal government, or who have worked as an entrepreneur in a privately-owned company. These types of people bring richness to a board, and these types of places are good recruiting grounds for directors.

We've all heard about the importance of an elevator pitch. But how much does it really matter?
In today's episode, we're joined again by Matt Craven, a speaker on personal branding, thought-leadership, LinkedIn and career development.
Matt explains that anyone aspiring to be a board member must focus on building their personal brand. That goes beyond just the elevator pitch. Your personal brand is how the world sees you. Fortunately, you have the ability to grow, shape, and enhance the image you present.
Matt recommends you view yourself as a service provider. Concentrate on shifting your position from being a generalist to someone who speaks with authority about your industry. That will make you sought out for your expertise! In this way, you can carefully and intentionally build a platform. On that Boards will be seeking.
To provide an example of how this works, during the episode, Matts offer constructive feedback on my LinkedIn profile. And I learned tons! Apparently, I hadn't been speaking to the needs of my target audience and wasn't explaining what I could offer them. (Fortunately, my revised LinkedIn profile is much stronger after Matt's insights!)

Most people seeking a paid board role focus on public companies.
But they're missing a much bigger market: private for-profit companies.
There are less than 4,000 public companies on U.S. stock exchanges. But there's a multiple of that in the private space.

Would you answer the call?
We're talking about the call that leads to a board seat. You have to be willing to put yourself out there to land a board role.
Sometimes the stakes are high. Like for today's guest -- when the White House called her. Sara Favire was called by the Obama White House to serve on the board of Farmer Mac (NYSE: AGM). This was her first role and it was a huge opportunity!
Now most of us aren't going to be called to board service in this way. But this happened to Sara because she'd done all the right prep work to put herself in position to earn that board seat.
Now she's training others to do the same. As part of the 2020 Women on Boards movement, Sara is leading a pilot program for the organization. Running in Austin this year, InTouch2020 is a Board Readiness program that helps qualified executives build a network and execute on the specific steps needed to find their first corporate board seat.

Writing a board of directors resume is much the same as writing any other executive resume, right? NOT QUITE.
Some individuals expect resumes to all follow a specific, prescribed format. And that might be true for entry-level and middle management jobs.
But it's definitely not the resume version you'll use to apply for a Board role. Instead, you'll want to use a far more customized approach for writing a resume for a Board of Directors position.
Fortunately, on today's show, our guest, Matt Craven, has all the answers. He's a personal branding and career development expert. His focus is on helping aspiring and existing Directors to sell themselves more effectively and secure more Board roles.
Matt explains in great detail the methodologies he uses, including go-to-market descriptions and value proposition statements. He shares how it all starts with fixing your audience in your mind. Simply ask yourself: What will be most important to the nominating and governance committees that will be selecting and interviewing candidates to fill vacancies of the board of directors?
And after walking us through the theory of how to craft a Board resume, Matt gets really practical by showing you. Matt spends the latter part of the episode critiquing my Board resume.
Now, I felt good about my resume before the show started. But Matt founds lots of ways it could be improved.
We knew this would be helpful -- to see the before and after versions. So we're making them both available. (See the links at the bottom.) I'm much more confident about my Board resume after Matt's careful (and gentle) feedback.

Everyone knows you join a board to network, right? WRONG!
If you follow this conventional wisdom you won't actually bring your best self to the boardroom. This traditional approach dictates seeking the most high-profile opportunity available. Which probably won't lead to an organization or mission you're passionate about.
Instead, focus on finding a board seat where the organization's mission aligns with your values. That way you'll bring your best to every board interaction.

It's absolutely true that the most likely route to getting a board seat is to use your network. (About half the director positions are filled this way.) I've witnessed this first hand. But a close second is to use an executive search firm.
But how does that process work? How can you become friends with the uber-influential headhunter who has a Chairman's ear?

So many people think that's the best way to start a board career. But is it?
In today's episode, I'll demonstrate that this can be a very successful approach! My friend Jack Good will explain how he parlayed his nonprofit board experience into paid board seats with for-profit organizations.
Jack recently retired from a 35-year career in public relations, marketing and communications. During that time he held board roles with numerous local and regional nonprofits.
The key to this story is that Jack did what all of us need to do: excel in the opportunities we're given. Because Jack added tremendous value to each nonprofit he was involved with, his reputation grew. He became known throughout the region as a sought after board member.
I'd didn't take long before for-profit CEOs were approaching Jack to join their board. Jack has created a sterling brand and reputation which directly led to multiple offers of for-profit board positions.
The best part is that this is a plan anyone can follow. Jack offers great advice on how to execute this strategy.

3:30 - A board role is not a job, it's a calling. You're there to create value.
6:38 - Finding a board seat isn't a job application. You're not applying to be part of management.
10:35 - You can't press it, push it, or go around handing out your resume. You can steer the conversation and let it be known you're seeking a board role. But don't press it because if people think you're too eager they'll be suspicious of your motives.
12:52 - To obtain a board role, show a sense of purpose while being clear about the unique value and assets you'd bring.
14:52 - To help a nonprofit, identify what that organization is trying to accomplish and how you'll measure it. If you don't measure results you won't have any.
17:37 - Boards don't give orders, they ask questions. Board members need to ask the right questions and guide management along the right purpose. You'll scare management if you tell them how to manage the organization. You need to switch to strategic guidance.
