We will all exit our business someday. The question we need to answer is, “Am I being pushed to exit or pulled into it?” The distinction between the two is entirely about you as the entrepreneur and not about the business itself.
When you are being pushed, it is typically because you feel that you cannot continue with the business as it is. There is something missing which makes continuing not a viable option. A pull exit is when you feel something else pulling you to it. This is a feeling that something else is waiting for you, and you need to go to that something else. A pull exit is by far the better feeling.

Entrepreneurs have demands on their capital and reserve requirements that most others do not. Thinking about these in concert with personal needs and requirements requires a different approach.
In this week's episode of the Entrepreneur Aligned Podcast, Jarrod segments capital reserve requirements into the following categories. He goes over why each piece of capital is being held in reserve and provides helpful examples and strategies for each one.
Business
Business working capital needed within 90 days
Business reserve capital that could be needed in 90-180 days
Business reserves needed more than 180 days into the future
Personal
Personal cash needed within 180 days
Personal reserves that cover debt and expenses between 180-365 days
Known big ticket items needed one-to-three years in the future

How do you close gaps that exist when partners need different things from the business? If you haven't listened to our last episode of Part I, go back and listen for an overview of our first three phases of business owner equity planning with multiple partners. In today's episode of 3-Minute Success, we are going to finish Part II of this series and go into Phase 4.
Phase 4 is about integrating everything together into a unified strategy that meets the needs of each partner. This phase is always the most nuanced because we usually uncover gaps in the current business strategy, which are most likely:
1) Time horizon based
2) Owner benefit need based
3) Exit outcome need based

How do you know when you need to make a change with your CPA? If you are seeing any of these four signs, it may be time to start seeking out a new team:
1) You have asked for tax projections but don’t get them.
2) You have asked for guidance around the timing of a use of capital but your CPA doesn’t want to offer a recommendation.
3) You feel like your CPA knows less about taxes for your business than you do.
4) You have found errors with prior year business returns prepared by your CPA.

There are lots of ways to lose money with investing, but perhaps the most frequent is selling assets when you don’t want to. Sometimes we see a better opportunity or think we do, and want to make a change to take advantage of it even if the assets we own are down in value. Most often, we see this happen when there is a need for capital that we didn’t properly plan for and we need cash even if we are selling at a loss to get it.
So how do you set yourself up for success so that you aren’t selling assets when you don’t want to? You have to design your account structure and strategy to match your dollars to when you will need them. In this episode of the Entrepreneur Aligned Podcast, we will cover an example of our baseline design which involves splitting personal liquid assets into three buckets:
1) Short-term needs and reserves: spending in the next 1 year
2) Mid-term needs and reserves: spending in the next 2-3 years
3) Long-term needs: spending more than 3 years in the future

How is wealth management different for business owners?
The more accurate question might be, how isn’t it different? Business owners control their time and capital to a greater degree than the 91% of non-entrepreneurs in the US. Most of the research and writing on personal finance is targeted toward those 91% who work for someone else and operate in a very traditional work environment. They generally collect wages and benefits and have fairly predictable income. Entrepreneurs only make money when their business does and those numbers change drastically over time.

As many startups embark on their entrepreneurial journey, one critical decision involves choosing the business structure that best fits their unique needs. Two popular choices are the Limited Liability Company (LLC) and S Corporation (S Corp), each having its own nuances and specific governance structures.
Both S Corporations and LLCs offer "pass-through" taxation, where profits are taxed at the owner level, not at the business level. However, S Corporations' shareholders can potentially avoid self-employment taxes on a portion of the company's profits, a benefit typically not available to LLC members. S Corporations are required to adhere to stricter corporate formalities, such as maintaining minutes of board and shareholder meetings, issuing stock, and having a board of directors. Conversely, LLCs offer more flexibility in management structure and fewer ongoing formalities.

A question we are frequently asked is, “When will the next recession be?” We all know that the business cycle is real and that the next recession will eventually be here. However, we have no idea when it will occur and with what severity. We don’t know because the global financial system is incredibly complex and difficult to predict. This doesn’t mean that we don’t go through mountains of financial data (we do), and try to get some leading indicators to help us better understand what is likely to happen. Even so, we never know for sure. So if this group of highly educated financial professionals who have made an entire career out of doing this work at a high level doesn’t know for sure, it means that nobody else really does either.
So what should our response to the unknown be as entrepreneurs? In today's episode of the Entrepreneur Aligned Podcast, I'll go over a simple framework you can use to examine your own unique scenarios. Often entrepreneurs neglect their physical health. Our businesses and families require so much from us to succeed and be the entrepreneurs, fathers, and mothers we aspire to be. Time always feels short and the same drive that makes us successful can also leave little time to focus on our physical health. For many business owners, the process of getting a business valuation feels like a black box. You give your valuation expert your financials and out pops a number, right? How do you know what goes into that number and whether it is accurate?

Entrepreneurship is about generating wealth without a direct connection to your time. Building things that run without you and continue generating cash flow without you being there is what creates the time flexibility we are all seeking.

One of the frequent questions asked by our entrepreneur families is, “What are the best trips that other clients are taking?” Because we get to hear about some truly amazing adventures from our clients, we here at Entrepreneur Aligned are effectively trip advisors as well as financial advisors.
The entrepreneur families we know are always looking for ways to maximize the time they spend away from their businesses and want to make the most of family travel time. Over the past few years, we have heard most of our clients talk about these four primary travel tools: self-booking or using a travel agent, Airbnb, Inspirato, and Wander. This week, I want to respond to a question we often receive from entrepreneurs who are meeting us for the first time. Many times, they ask us, “How should I evaluate whether working with you is worth what I pay for your services?”
Great news! We have an easy way to calculate our value based on three quantifiable areas, each of which is based on increased merit when compared to you doing things yourself:
How much time do we save our clients, and what is their hourly rate for their business?
How much more do investors working with an advisor receive in investment returns than those doing it themselves?
How much value does tax planning add?

Why do many entrepreneurs insist on working with the same financial team they started with years ago? The skills needed to solve problems for a household with $100,000 of income, $1 million or $10 million are different. Protecting $1 million of wealth, $10 million and $100 million should change, because the threats to keeping those levels of wealth change. The tax code and the challenges it presents are drastically different at different levels of wealth. The things we regret are those that are left untried. How often have you thought about that business that is just screaming to be built? How often have you written it off because you just do not have the time for it? What happens after you sell your company to a publicly traded one and, in the deal, you take stock in the acquirer? You just invested in the acquirer! The details make all the difference. We will all exit our business someday. The question we need to answer is, “Am I being pushed to exit or pulled into it?” The distinction between the two is entirely about you as the entrepreneur and not about the business itself.
When you are being pushed, it is typically because you feel that you cannot continue with the business as it is. There is something missing which makes continuing not a viable option. A pull exit is when you feel something else pulling you to it. This is a feeling that something else is waiting for you, and you need to go to that something else. A pull exit is by far the better feeling.

As an entrepreneur, retirement can start at any time. Retirement does not mean that we should stop working, sit on the couch and do nothing. Entrepreneurs have demands on their capital and reserve requirements that most others do not. Thinking about these in concert with personal needs and requirements requires a different approach.
In this week's episode, Jarrod segments capital reserve requirements into the following categories. He goes over why each piece of capital is being held in reserve and provides helpful examples and strategies for each one.
Business
Business working capital needed within 90 days
Business reserve capital that could be needed in 90-180 days
Business reserves needed more than 180 days into the future

Personal cash needed within 180 days
Personal reserves that cover debt and expenses between 180-365 days
Known big ticket items needed one-to-three years in the future

Let’s not bury the lead, yes you do need a valuation for your business, but perhaps not for the reasons you would think. Most of us think of a small business valuation as an event that typically comes right before a transaction, similar to a home appraisal at the time of sale. However, a business valuation is actually a tool to allow you to gain insight about the drivers of your equity value so that you can make better decisions and increase that value. We will get into the tactical elements that drive valuation and discuss why tracking business equity value well in advance of any sale adds significant value for owners. For the majority of us who own and operate small businesses, the equity value of that business is the largest asset on our personal balance sheet and drives the majority of our cashflow.
