Welcome my legal beagle to another sidebar. Today's sidebar is about the three pillars of success. And I've really narrowed them down now to just three: mental thinking, the way you look physically, and spirituality.

The first one is mental thinking. How do you look? How do you think? How do you act? How do you see yourself mentally?

Do you see yourself happy? Do you want to be a happy person? Do you want to take those steps to be a happy person? Remember everybody wants to be around a happy person. So it's taking control over your mind that makes a difference.

The second pillar of success is the way you look physically. Are you physically healthy? Are you physically able to get up and walk from one room to another? Are you able to go for a run in the morning with your dogs? How do you physically move? Do you stand up straight? Do you command a room when you walk into any establishment? Do you command attention? When you walk into any room physically, how do you feel internally?

The way we treat ourselves is the way others are going to treat us too. If you look physically fit, if you want to lose 10 pounds, it's free. It's free to do that. You can just put on your shoes and go for a run. Start eating healthier. Everything that I'm talking about right now is actually free. It doesn't cost a thing. And if you do want to lose 10 pounds and you don't know how - call me. I used to be a personal trainer.

The third pillar of success and the most important one is spirituality. You can have faith in whatever you want, but you have to have faith. You have to have faith in an all mighty.

This sidebar is titled partnerships. Now don't let that word frighten you. When you enter into a partnership and you want to terminate that partnership, terminating that partnership could be even worse than actually getting a divorce.

I know you've heard horror stories about people forcing, and it can take years and years and there's litigation and oh my God, all the assets and you've got to split them and it goes on and on. Okay. So imagine going into a partnership, it could be with anyone. It could be with your best friend. It could be with someone that you just hit it off with sitting next to on a long flight.

One thing that you need to understand is partnerships can be fantastic, just like a marriage. Or there could be your worst nightmare. Just like a marriage, you’re entering into a partnership from a legality standpoint. Make sure you're not just protecting yourself, but you're protecting your family too.

Maybe you want to start a business with a best friend. Maybe you're married and you have children and they actually become a part of the partnership as well. So again, you're not just looking out for yourself, you're looking out for your family too. So when you do start a partnership, do NOT enter into a partnership without a partnership agreement.

At some point, I decided to define “success” for myself. Okay, success could be defined by how much money you have in your bank account. Success could be defined by how well known you are in the world. But when it really came down to it, I had to define success for myself on my terms. I found the love of my life, running a business that I absolutely love. That's success for me.

Additionally, I graduated from law school. I passed the bar. That was a success for me. I worked for one of the largest international law firms in the world. That was a success for me. Now I’m living the life of my dreams. I'm surrounded by my four associates, my dogs, and every day they come to work with me. If that's not a definition of success, I don't know what is.

The other love of my life is my husband. Yes, he’s the love of my life too.

For everyone that's been listening to this show, you know I am just in love with dogs. And today I have the pleasure of interviewing Ann Greenberg who is the founder of A Pet with Paws company and is a veteran in the fashion industry.

Ann was involved in the fashion industry for over 20 years. And then she transitioned into designing and manufacturing handbags. She had her handbag company called The Underground Chic and one day she was visiting with her stepdaughter Karen who has beautiful cats. She noticed Karen was carrying a cat in a very unattractive pet carrier. She thought, “There's no reason I couldn’t expand my handbag into a pet carrier.” So, her pet carriers have the look of a handbag, but they have all the functionalities of a pet carrier. The style is called The Madison after the Madison cats.

We’ve all heard the warnings. “Whatever you do, don’t go into business with friends!” Or “Never start a business with family!” These warnings, often intended for your best interest, aren’t altogether fair. In many cases, those who warn you about such a partnership had a bad experience. And many times, this happens because they never had a formal partnership agreement in place.

A partnership contract is an absolute must, anytime you go into business with someone else. Whether you’re starting a digital marketing company with a cousin, launching a pet-sitting side gig with a friend, or joining forces with a former colleague to launch your own consulting firm, you need this vital agreement in place.

Partnership agreements are legally binding contracts created to protect each partner’s investment. They also clearly define the responsibilities and obligations of each partner. Well-crafted partnership agreements also spell out the purpose of the business and include details about partner contributions and voting rights. In addition, a partnership contract will provide the course of action that will ensue, should a dispute occur.

A carefully drafted partnership agreement can be the saving grace, designed to avoid miscommunication, and prevent legal problems. It keeps your business afloat, even when you and your partner(s) butt heads.

“I was working a telephone sales and fundraising job (nicer way of saying telemarketing) to pay for graduate school. It was the worst job I ever had and I was Minnie Mouse for kid's birthday parties in Encino, so that's saying a lot. The only training we got was from a guy who was one of their top salespeople. He drank 3 cups of coffee and then read an awkward script in a salesy voice at lightning speed. I was there for two weeks and only made a few sales and had already decided to quit when I thought, I wonder what would happen if I applied what I've learned as a singer to how I use my voice as a speaker. I figured I'm quitting this job, what have I got to lose? What happened next changed my life. Within a few weeks, I became one of their top salespeople. The last sidebar we left off with was where I provided you with a pretty good definition of what a startup is. Now, what do you need to do in order to actually start your business on the right legal foot?

Well, you have options. You actually need to incorporate your business. Why incorporate your business? It's a good question. People pay thousands of dollars, go to attorneys for this exact same advice. I'm offering this advice to you today because I love helping entrepreneurs.

I love helping people get their dream started. Don't just sit there and dream about it. Actually, do it. Let's put a plan in place so you can become successful at what you are doing, which is, you're going to start a business. So what legal entity should you be? That's a very good question.

Why should incorporate it? When choosing the business entity, you should consider the following.

Keep in mind, before you go down this road, you have to have some sort of plan. I doubt that you go on vacation without a plan, right? You probably spend months and months working with a travel agent to secure the right lodging, to secure the right attractions, to secure the right tickets.

Well, the same thing with your business. This business is going to be your baby. You don't just start it and leave it in the middle of the road and hope and pray that it doesn't get hit. So you have to have some sort of plan. You have to have a business plan. I know business plans might have a bad rap, but I've actually got the perfect business plan for you.

You may have heard that phrase. You may not have heard that phrase, but it's very important to understand.

Believe it or not, even though it's, during the COVID time, there are more people starting businesses this year. And for you to become successful, you need to arm yourself with business knowledge and understand the business legal life cycle.

When it comes to pitching business reporters, Falk says you have to think like one of them. “The reporter is thinking, ‘What does my audience care about?’ Whether it's readers or listeners or viewers, what they care about is saving time, saving money, and making money.”

Taken a step further, you should employ the basic tool in the reporter’s kit: The Five W’s.

  1. WHO do you want to read the story?
  2. WHAT do you want that person to think about and do? Use your service, buy your product, go to your website, visit your location, make a phone call?
  3. WHEN is the information timely?
  4. WHERE should the news appear -- in the general news or a special interest platform?
  5. WHY should anyone care about what you have to say? How does your insight, product, service help an individual, a business owner, or a company to save time, save money, or make more money.

Other tactics Faulk considers indispensable for attracting business, growing audience, getting a favorable message out:

  • Networking: Align yourself with like-minded groups.
  • Develop a media profile: It’s not your bio or CV, but it's very tailored to the interests of the five W's. Give your contact information, three to five sentences that broadly describe your background and what it is that you do, then you have three to five bullet points that are more specific about the kinds of services that you provide.
  • Think about three to five issues or hot topics that people really need to know more about.
  • The last part is a quote, something about 50 words that gives an idea of what it would be like for the reporter to talk to you.
  • Have a web presence: When the visitor comes to the website, they should feel that there's a connection and that the person understands what is their situation, what is their problem, and that this is the solution.
  • Your LinkedIn profile confirms you are the person that you say you are.
  • Have a newsletter.

Hanna’s Legally Speaking podcast has a global reach and provides the international legal community with topical information and advice. Podcasting helps his company stand out. “At the moment, any business needs to be producing quality content to their niche market audiences,” Hanna says. “It's not enough just to be a sort of reactive service. My guest is Jesse Morgan, an inventor, and manufacturer who helps other inventors take their ideas to market.

After a near-fatal car accident, Jesse invented The Extractor Tool, for cutting yourself free of a seatbelt and smashing open the car window.

Today I have the pleasure of interviewing Alexandra Renee Poelstra, the CEO at ALL MAVEN, a full-service branding and digital marketing agency.

You’re probably asking yourself, “what’s a maven?” Alex tells her story and how she became known as “the maven.” Like many young people starting out in life, attending many schools and programs to advance herself in her profession, the one thing that kept her going she says was and is her “faith.”

Alex talks about the struggles she’s had in starting her business.

Alex says, being a monster-preneur and at the end of the day, her number one challenge is staying focused on one thing. She says her number two challenge is not get distracted and... not buy into everything people are pitching. She says don’t spend your time around people that aren’t giving you “wise counsel.” And I agree.

Alex is also known as the “crazy boss-lady.” She tells us why. Hint: it’s a creative thing.

Alex shows us “how” a business stands out among the rest. Without marketing, it’s impossible. What she excels at is branding, and partially for this episode, that’s why this episode is a must-listen. Alex says you can be successful without branding, but without it, for the long-term, there will be struggles along the way. Branding is what sets a business apart from the rest.

Today I have the pleasure of talking with Sophia Felix, the Founder of HBM Talent & Management.

At 19 Sophia worked at the Department Of Defense and was in charge of managing multimillion-dollar contracts where she learned most of her business skills and went on to have 5 mentorships in her career.

I asked Sophia “How do you get recognized?”
When I’m looking for talent, I look for: their energy; their ambition; and their heart.

It’s also how you present yourself. I’m professional at all times. If I’m in a business meeting, I always dress professionally, which helps me to stand out and show people who I am, and they’ll remember me.

I’m also a woman of my word. I have faith in my clients and what I do.

I look for those people that have that energy and charisma. I can make them look good and brand them, but if they don’t have that ambition, that heart, it’s a waste of time.

Sophia walks us through an example of how she might help a clothing company and gives us advice on entering into the marketing world - and the importance of self-care. I quote myself here by saying,

“Why blend in when you were born to ‘stand out’.” Sophia takes her clients through several “game-changing” exercises to help them “dream big” no matter how big their dream is.

As usual with all my guests, I asked Sophia, what she now knows, what would she do differently when she was just starting out. Her answer may NOT surprise you.

I’m so pleased to spend time today with Angie Rupert from Rupert Law Group. Angie’s specialty is as an E-2 Investor Visa Attorney. The E-2 Visa program is for entrepreneurs all over the world that want to start a business here in the United States. E-2 stands for a statute in immigration law. It can be found here under E-2 Treaty Investors.

Angie has combined her legal background, her love of entrepreneurship with business development to make it a perfect fit for herself and her clients.

Angie shares with us how she helps international or potential international clients gain a US presence. These are the first things you need to figure out:

  • What business do you want to start or buy?
  • Where do you want to open or buy this business?
  • How are you going to invest in this business?

After you know those things, it’s now time to call a lawyer and walk-through how you’re going to get this idea off into a business. This is the process of getting the E2: getting it near operational before you go get the Visa.

If the processes go smoothly, it can take about 3 to 4 months. Some clients can move more quickly. Some it can take longer up to a year. It depends on how quickly the client moves. Once Angie gets the documents together, it takes her about 2-weeks to put the filing together, at which point she then sends them off to the consultant at the country of the client’s origin. The consultant may then take from 4 to 12 weeks to review the documentation. The consultant will then take steps to setup up an interview with the client. The interview will take only 10 to 30 minutes. If approved, it then takes just a week to complete the process and get the Visa.

Angie tells her clients that on average, from the time they sign with her to the time they receive their Visa, it takes about 6 months.

    • The CAN-SPAM Act, a law that sets the rules for commercial email, establishes requirements for commercial messages, gives recipients the right to have you stop emailing them, and spells out tough penalties for violations. The law makes no exception for business-to-business email.
    • The Controlling the Assault of Non-Solicited Pornography And Marketing Act of 2003, signed into law by President George W. Bush on December 16, 2003, established the United States' first national standards for the sending of commercial e-mail and requires the Federal Trade Commission to enforce its provisions.
  • 12 - FTC Telemarketing Marketing Sales Rule

    • The Telemarketing Sales Rule, which requires telemarketers to make specific disclosures of material information; prohibits misrepresentations; sets limits on the times telemarketers may call consumers; prohibits calls to a consumer who has asked not to be called again; and sets payment restrictions for the sale of certain goods and services.
  • 13 - FTC Sales Tax Collection

  • 14 International Sales Laws

    • It instantly opens your business to a new audience but that exposure comes with regulations. It poses questions about shipping, taxes, and customs. Make sure you speak with your CPA or Accountant about his.
  • 15 - FTC Data Security

    • Many companies keep sensitive personal information about customers or employees in their files or on their network. Having a sound security plan in place to collect only what you need, keep it safe, and dispose of it securely can help you meet your legal obligations to protect that sensitive data. The FTC has free resources for businesses of any size.

Today in our 2nd of the 3-part series, I’ll be covering #6 through #10 of the 15 business laws every entrepreneur should know. So let’s get started.

  • 6 - At Will Work Doctrine

    • At will employment means that an employee can leave a job whenever they want for any reason, and employers can terminate an employee for any reason without notice or cause. The intent of the at will employment doctrine is to prevent wrongful termination and employment lawsuits between employees and employers.
  • 7 - Obtain an Employer Identification Number (EIN)

    • The Employer Identification Number, also known as the Federal Employer Identification Number or the Federal Tax Identification Number, is a unique nine-digit number assigned by the Internal Revenue Service to business entities operating in the United States for the purposes of identification.
  • 8 - Know the taxes you have to pay

    • Review the Federal Social Security Tax. A Social Security tax is the tax levied on both employers and employees to fund the Social Security program. Social Security tax is usually collected in the form of payroll tax or self-employment tax. The Social Security tax pays for the retirement, disability, and survivorship benefits received by millions of Americans each year.
    • Review the Medicare tax.
    • Review the Federal Unemployment tax.
    • You’ll want to talk with an accountant or CPA about these obligations and figure out a budget to make sure that you’re compliant with these taxes.
    • Review your State Taxes.
  • 9 - Hiring Employees

    • When you plan on bringing on an employee, it will impact your taxes. Research the differences between a W-2 Employee and a and a 1099 Contractor.

  • 10 - Truth in Advertising and Marketing

    • This law requires that all advertising and marketing be truthful. When consumers see or hear an advertisement, whether it's on the Internet, radio or television, or anywhere else, federal law says that ad must be truthful, not misleading, and, when appropriate, backed by scientific evidence.

Basics 1: before making any decisions, make a Marketing Plan, just like you would if you were going on a vacation, or planing anything that requires detail and planning to keep out of trouble. A Marketing Plan serves as a roadmap to your success. It details the success route you’ll need to follow to get your business noticed.

Basics 2: you must have a Marketing Budget. I highly suggest you sit down with a professional marketer and let them know everything. Share with them the big picture you have for your business. Most often you’ll need to start small but if your marketer knows the big picture, this will help them craft the plan.

We’re still talking about money, and where to find it. Today I’m talking in part 3 about raising “venture capital” or finding an “angel investor.”

Venture capital firms make direct investments in companies in exchange for equity stakes in the business. VCs (venture capital firms) tend to be highly selective and usually only invest in businesses that are already established and have shown the ability to generate profit.

Another option you may have is to obtaining money from an “angel investor.” If you can’t get enough money from the bank or your own assets, and you don’t have a rich uncle, you can always look for a wealthy non-relative. Some well-off individuals like to invest in startup ventures often in an ownership stake in your own business. These investors are known as “angel investors.” Typically an “angel investor” has been successful in a particular industry and is looking for new opportunities. Not only can they offer you financing for your business right off the ground, but some are willing to offer guidance based off their own experience.

Here’s the main takeaway of this episode:

If you’re looking for someone that’s going to invest in your business, make sure they come with knowledge, experience, and connections that can help you grow - so your business becomes successful. You’re probably asking yourself “How do I find these ‘angel investors?’” It can take some research. Many “angel investors” prefer to keep a low profile and can only be found by asking other business owners, financial advisors, and business attorneys. Often you’ll find these people in networking groups like StartupGRIND Carlsbad, where people collaborate and meet new people.

Remember, you only have one shot at getting the attention of an “angel investor” so spend some time honing your pitch down to an art. You’ll need to tell them:

In this part 2 of the 4 part series “Money. Where to Find It” we’re talking about borrowing from family and friends.

You can always turn to people who you know best. It can be easier to persuade them rather than the big banks. Borrowing money from a personal friend or family member is a very popular option. Even though they’re a family member or friend, you still need everything in writing so everyone is on the same page.

A 2015 survey found that 68% of small businesses used financing from family and friends, but borrowing from family or a friend can be tricky as well. Needless to say, borrowing from family and friends comes with its own set of risks.

Make sure you have the terms of the loan clearly written down. This includes:

  • how much to be borrowed
  • the amount of interest to be charged
  • the time-table for when the repayment will occur.

You can also give them the option to convert their loan into equity in your company.

So remember, the 2nd way you get get money to finance your business, is to receive a loan from family and friends - both with the option of converting the loan into equity in your company.

Today's topic is an important one for those that use independent contractors. When you get sued, it’s usually an internal threat by desperate, dishonest people who have worked for you. For this reason, it’s very important to hire independent contractors "the right way."

In the US people can be classified as employees or independent contractors. The distinction really boils down to the business owner paying taxes to the state if using employees. There is more critical information in this episode, so please listen to it in its entirety.

A recent ruling by the California Supreme Court has placed more restraints on the definition of the Independent Contractor. If you’re a business owner in California, this ruling could directly impact your bottom line.

As a business owner, the Independent Contractor must pass these 3 tests:

  • Test A: the independent contractor must be free from your control
  • Test B: that the worker performs work that is outside the usual course of the hiring entity’s business
  • Test C: that the worker is customarily engaged in an independently established trade, occupation, or business, and of the same nature as the work performed for the hiring entity.

The fifth in our 10 episode podcast series of legal issues facing entrepreneurs is “How should I structure my partnership agreement?” Many new companies fail due to the fact that there never was a well written partnership agreement in place that spelled-out the duties and obligations of each partner and cover all issues the “could” arisen in the future. For example:

  • Do all partners agree that company decisions are to be unanimous or by a majority vote? This is important and you’ll want to sit down with your partners and think this one through.
  • How much equity (ownership) will each partner have in the company?
  • Again, sit down with your partners and think about who’s going to be in charge of what? How much work will each partner have and hold them to that work as well. According to that work, make sure you do an “equity split.”
  • How will company assets be split upon the event of a dissolution? Think about this. Think about the bigger picture.

Discus all of these issues with your partners making sure you have all of these written down in a partnership agreement. All of these issues and many more must be tackled and addressed in a comprehensive partnership agreement at the outset of forming your partnership.

Today I’m joined in the studio with Charles Guerin, CPA. We learned that with the new tax laws, it’s changed the framework towards how individuals now prepare their tax returns going forward into the new year for 2018. Some of these include:

  • How we take our major deductions on our tax returns, including personal exemptions.
  • The a drop in the marginal tax rates across the board.
  • The child tax credit has increased.

Additionally, we talk about how corporations are now taxed at 21% - a flat marginal tax rate. This tax rate really only affects the humongous large corporations.

Here is Charlie’s #1 tip he asks his clients to prepare for and complete BEFORE coming to see him:

  • Bookkeeping: Be prepared. The key is to take pride in your “books” as much as you do for your business. Please don’t keep “dirty books” (listen to Ep. 17 Kasey Ortiz: The Importance of Taxes and Clean Books).

  • Choose the right business structure for your business.
  • Always keep your books in perfect order.

Generally as a employer, you should limit your liability before taking on any new employees.

The three “must haves” are:

  • an employee handbook which is given out to all new employees. The handbook should address everything from the company’s sexual harassment policy to the office dress code. You’ll have them read the handbook and sign an acknowledgment form. This handbook should also cover all of the employee’s “rights.” Again, have them read it and acknowledge that they’ve received and read the handbook.
  • to have each employee complete an application. Having this document is crucial for you to have as an employer!
  • an employee agreement. This can be as simple as one page or as elaborate as it needs to be. But you should have one.

What should be in your contract? Is a contract and contract? Not really it. An “enforceable contract” needs to include:

  • The name of the parties.
  • The services being offered.
  • The price of the contract.
  • The Method of payment and when you’ll be paid.
  • A “Refund Policy” if that makes sense.
  • Protection for your “intellectual property.”
  • How and those things that will terminate the contract.
  • How and where the disputes will be settled.
  • A “confidentiality clause” - which in most cases is a must.
  • Who is responsible for the tax obligations.
